Compensation & Stock Specialist

Position Overview

The Compensation & Stock Specialist will support H.B. Fuller employees worldwide in equity compensation matters. Responsibilities include administering equity programs, conducting stock analysis, and managing documentation. The ideal candidate will have strong attention to detail, problem-solving skills, and experience in stock administration. Proficiency in Microsoft Office Suite, database functionality, and data merging is required. This role also oversees the deferred compensation program, assists with annual proxy filings, and supports other executive compensation initiatives.

Primary Responsibilities
  • Stock Administration (60%)
  • Grant stock awards, including calculations
  • Manage stock awards, including LTI plans, retention, and board grants
  • Track and manage award details, ensuring timely acceptance
  • Prepare employee grant communications and documents
  • Partner with Legal on award agreements and online documentation
  • Oversee RSU and PSU vesting processes
  • Coordinate with vendors for vesting processing
  • Calculate FICA taxes and dividend accruals
  • Ensure compliance with US and global withholding requirements
  • Manage stock option exercises and audit termination processes
  • Provide information for global tax filings
  • Partner with Legal for Proxy and Stock Filings (10%)
  • Gather and analyze stock info for proxy statements
  • Provide stock and dividend data for SEC filings
  • Balance Stock Plan Accounts and Monitor Spending (10%)
  • Track stock plan spending and reserves with vendors and Legal
  • Manage Deferred Compensation Plan (10%)
  • Oversee enrollment and payments
  • Track stock spend related to deferred compensation
  • Additional Responsibilities/Projects (10%)
  • Maintain process documentation and suggest improvements
  • Conduct stock ownership analysis
  • Assist with special projects
Minimum Requirements
  • At least 4 years of related experience
  • Strong knowledge of stock administration and equity principles
  • Proficiency in Microsoft Office
  • Ability to analyze stock-related financial data
Preferred Requirements
  • Experience with SEC filings and legal teams
  • Bachelor’s degree in HR, Business, or related field
  • Familiarity with deferred compensation
  • Experience in corporate equity compensation roles
  • Knowledge of tax implications of stock awards
Pay is based on factors including education, experience, certifications, and location. The salary range is $84,000 - $110,000. H.B. Fuller offers a comprehensive benefits package, incentives, wellness benefits, 401K, paid time off, and holidays. Eligibility varies.
