Responsibilities

  • Negotiate and draft leases from Landlord and Tenant perspectives (retail, office, ground leases, mixed-use).
  • Negotiate and draft property acquisition and sale documents (LOIs, purchase agreements, deeds, etc.).
  • Negotiate and draft easements and title encumbrances.
  • Coordinate review and preparation of leasing and acquisition documentation.
  • Review due diligence, title objections, surveys, environmental reviews, and closings.
  • Conduct closings and advise on settlement statements.
  • Draft operating agreements, bylaws, shareholders’ agreements, indemnity agreements, and other contracts.
  • Draft correspondence to landlords/tenants regarding disputes.
  • Lead a team coordinating transaction documents and closings for multi-jurisdiction properties.
  • Monitor deadlines and supervise closings; experience with financing transactions is a plus.

Job description

As a result of continuous growth, DarrowEverett LLP is looking for a Commercial Real Estate Senior Attorney with immediate availability for our Real Estate Department. Ideal candidate(s) will have a portable book of business with at least $200,000 in collections that they are looking to grow, have a strong acumen for leadership and a desire to be an integral part of a growing office. The candidate must have excellent communication and administrative skills, be highly organized and detail-oriented, be able to multitask without sacrificing efficiency, be responsible, and be able to represent the firm, always, in ways that enhance its reputation.

Role & Responsibilities
  • 8+ years of continuous, specific, and verifiable experience in a large law firm.
  • Negotiate and draft a variety of leases, from both a Landlord’s and Tenant’s perspective: retail, office, ground leases, mixed-use developments, licenses, etc.
  • Negotiate and draft property acquisition and sale documents for commercial real estate transactions: letters of intent, purchase and sales agreements, deeds, authority documents, and the like.
  • Negotiate and draft easements, ECCRs, restrictive covenants and other similar-type documents encumbering title.
  • Coordinate and direct the review, management and preparation of commercial leasing and acquisition/sale documentation.
  • Review Purchase and Sale Agreements, due diligence, monitor contingencies, review, and prepare title objections, survey and environmental reviews, closing documents and wire transfers.
  • Conduct closings, including review and advise clients on settlement statements, and complete post-closing documentation and administration.
  • Draft and review complex operating agreements and bylaws, shareholders’ agreements, master service and service level agreements, private placement memorandums, indemnity agreements, and other client contracts.
  • Draft correspondence on behalf of landlords to commercial tenants’ management and counsel relating to claims, defenses, and other disputes arising under lease agreements.
  • Effectively organize and maintain client files.
  • Organize and lead a team of attorneys coordinating the development of transaction documents, diligence and closing for portfolio transactions involving properties in multiple jurisdictions.
  • Monitor and calendar deadlines.
  • Experience negotiating, documenting and closing financing transactions a plus.
Qualifications:
  • Bachelor’s degree and J.D. Degree
  • Strong oral and written communication skills
  • Knowledge of the laws and rules, as well as state and federal court procedures, forms, deadlines, filing requirements and portals
  • Ability to organize factual and legal data into clear and logical arguments.
  • Ability to handle sensitive matters on a confidential basis.
  • Licensed to practice law and in good standing in at least one of the following states: MA, RI, NY, TN, NC, SC, or FL
  • A high degree of initiative, mature judgment, and discretion.
  • Organization and time management skills.
