Job summary

Tools for Humanity seeks a Commercial and Corporate Counsel to join our San Francisco team. You will lead high‑impact commercial transactions, partnerships, and strategic deals while partnering with product, finance, and operations to balance legal protections with business objectives.

The role emphasizes strong negotiation, practical judgment, and relationship building across a fast‑moving tech organization focused on identity, privacy, AI, and blockchain.

Qualifications

• 3–6 years as a Commercial or Technology Transactions attorney.
• Hands-on experience drafting, negotiating, and managing sophisticated commercial transactions.
• Excellent communication and relationship-building skills across legal and business teams.
• Ability to advise on transaction structure, risk allocation, and negotiation strategy.
• Willingness to travel; able to be in SF in person.

Responsibilities

• Lead drafting, negotiation, and execution of strategic commercial agreements including partnerships, enterprise deals, technology integrations, SaaS agreements, and vendor arrangements.
• Structure and negotiate complex commercial arrangements with business, product, operations, and finance teams.
• Advise stakeholders on transaction structure, risk allocation, and operational considerations.
• Support novel deal structures involving emerging technologies, blockchain, AI, and global models.
• Develop templates, playbooks, and scalable contracting processes to improve speed and consistency.
• Support corporate transactions including investments and acquisitions and assist with governance matters.
