Job summary

Maybell Quantum is seeking a Commercial Counsel to own the contracts that move revenue, from NDAs to complex purchase agreements, and to support fundraising and procurement activities. This role partners with sales, finance, and engineering in a fast-paced, venture-backed hardware company.

You will shape contracting policy, templates, and playbooks, negotiate complex agreements, and help scale a growing business across the US, Europe, and Asia while maintaining pragmatic risk management.

Qualifications

• JD and active bar membership.
• 4+ years of commercial contracting experience, including direct sales support.
• Proven track record negotiating hundreds of NDAs and commercial agreements.
• Comfort negotiating on customer paper, including procurement and institutional forms.
• Experience with venture financings, debt financings, or related corporate matters is a plus.

Responsibilities

• Own the NDA process end-to-end: intake, review, negotiation, and execution.
• Draft, review, and negotiate purchase agreements, quotes, terms, and statements of work.
• Support distributor, reseller, and channel partner agreements as the company expands internationally.
• Partner with finance on payment terms, revenue recognition, and credit risk.
• Coordinate fundraising due diligence and corporate governance matters.
