Job summary

Peregrine is seeking a Commercial Counsel to join our legal team in New York. You will draft, review, and negotiate commercial contracts across the business and provide practical advice on IP, data privacy, and software licensing.

You will partner with Sales, Finance, Marketing, and other functions, helping scale our in-house practice while staying up-to-date with evolving laws and regulations affecting Peregrine’s technology-driven business.

Qualifications

• J.D. degree and active admission to practice in at least one U.S. jurisdiction.
• Excellent business judgment and ability to explain legal risk in plain terms.
• 4+ years of commercial/transactional legal experience, SaaS/tech preferred.

Responsibilities

• Draft, review, and negotiate commercial contracts (sales, partnerships, vendor, licensing).
• Advise on corporate, compliance, privacy, IP, and legal operations in collaboration with in-house team.
• Partner with Sales, Finance, Contracts, Customer Delivery, Marketing and other stakeholders.
• Review marketing collateral and related agreements (agency, sponsorship, events).
• Develop and update playbooks, templates, and policies to scale the business.
• Monitor changes in laws and regulations affecting Peregrine’s business.
• Triage and counsel on ad hoc legal, compliance, and operational matters.

Job description

• We’re hiring a Commercial Counsel to join Peregrine’s legal team. This role will report to Peregrine’s Associate General Counsel and will wear a number of hats on the team and gain exposure to the full spectrum of in-house practice at a fast-scaling technology company
• This role will support commercial contracts across the business but will also help advise on corporate, compliance, privacy, IP, and legal operations questions in partnership with the in-house legal team and cross-functional stakeholders
• You will work day-to-day with Sales, Finance, Contracts, Customer Delivery, Marketing, and a number of other departments within the company
• Draft, review, and negotiate the agreements behind our sales, partnerships, and customer delivery, as well as the software and services that support the business, including technology licensing, software, vendor, reseller, strategic partnership, and data sharing agreements
• Provide practical advice to business teams on IP, data privacy, security, AI, and software licensing questions relating to Peregrine’s business and operations
• Review marketing collateral and marketing-related agreements, such as agency, sponsorship, and event contracts
• Work with Legal Operations and Contracts to build and evolve playbooks, templates, and policies to scale with the business
• Monitor and educate business stakeholders on changes in the laws and regulations that affect Peregrine’s business
• Triage and counsel stakeholders on ad hoc legal, compliance, and operational matters as they arise, and over time build depth in the areas most relevant to Peregrine’s business
