The Commercial Counsel will provide strategic legal support to the North American sales organization, advising on commercial activities, promotions, and governance while partnering with the Head of Legal. This role focuses on counseling on contracts, compliance, and employment matters, mentored by senior leadership.

Qualifications

• J.D. degree and license to practice in at least one U.S. jurisdiction.
• 5+ years of legal experience in commercial.
• Strong experience in commercial contracting and business counseling.

Responsibilities

• Counsel sales teams on commercial contracts, pricing programs, promotions.
• Review and negotiate sales, distribution, supply, and marketing agreements.
• Provide guidance on advertising, promotional materials, and product claims.
• Support corporate governance, compliance programs, and employment matters.
• Improve processes, develop templates and playbooks, and boost operational efficiency.
• Mentor junior legal staff and advise Head of Legal.

Job Summary:

The Commercial Counsel provides strategic legal support to a multinational manufacturer’s North American sales organization. This role advises on day‑to‑day commercial activities, promotional initiatives, employment matters, and corporate governance. Acting as a key partner and deputy to the Head of Legal, the Senior Counsel helps optimize policies and processes while mentoring junior staff.

Duties/Responsibilities:

• Counsel sales teams on commercial contracts, pricing programs, promotions, and customer-facing initiatives.
• Review and negotiate sales, distribution, supply, and marketing agreements.
• Provide guidance on advertising, promotional materials, and product claims.
• Support corporate governance, compliance programs, and employment-related matters.
• Improve legal processes, develop templates and playbooks, and support operational efficiency.
• Mentor junior legal talent and serve as a strategic sounding board to the Head of Legal.

Required Skills/Abilities:

• J.D. degree and license to practice in at least one U.S. jurisdiction.
• 5+ years of legal experience in commercial.
• Strong commercial contracting and business counseling experience.
