Job summary

Superluminal Medicines seeks a VP, Head of Legal to provide strategic and practical legal counsel across corporate, IP, employment, governance, and compliance as the company grows. Reporting to the CFO, you will partner with the executive team and Board to build and scale the legal function, balancing internal capabilities with external counsel.

Qualifications

• Juris Doctor (J.D.) from an accredited law school.
• Active license to practice law in at least one U.S. state bar (or DC).
• 10–15+ years of relevant legal experience, with significant life sciences experience.
• Experience with in-house legal leadership and scaling legal processes.
• Experience across corporate, commercial and general legal matters, with ability to partner with the business.
• Experience with corporate governance, commercial transactions, securities and governance matters.
• Experience advising CEOs, CFOs, executive teams and Boards of Directors.
• Experience managing outside counsel and establishing scalable legal processes.
• Experience supporting significant corporate milestones and financings, and evolving governance requirements.
• Experience with IP, licensing, collaborations and research-related agreements in life sciences.

Responsibilities

• Lead or support corporate governance matters, including Board and committee support and governance policies.
• Negotiate material commercial agreements and licensing, in partnership with relevant business functions.
• Develop templates, playbooks and guidance to address recurring legal matters efficiently.
• Establish the company’s legal operating model and scale the legal function as needed.
• Drive legal diligence, financing, strategic partnerships, and other significant transactions.
• Advise leadership on securities, disclosure, and governance considerations in transactions.
