We are seeking an exceptional Chief Financial Officer for a high-growth, newly US-listed advanced manufacturing business entering a significant period of expansion.

The company is scaling its manufacturing footprint, pursuing strategic acquisitions, expanding internationally and building the institutional capabilities required of a sophisticated public enterprise. It operates at the intersection of advanced technology, complex physical products and large-scale manufacturing, serving demanding government, commercial and international customers.

This role requires a CFO who can protect the integrity of a listed company while helping to build one.

The successful candidate must have served as Chief Financial Officer of a company listed on Nasdaq or the New York Stock Exchange. Experience as a divisional finance leader, controller or deputy CFO will not, on its own, meet this requirement.

Particular interest will be given to CFOs who have led a newly listed or recently transformed public company and have personally established the reporting, control, governance, systems and finance organization required after entering the public markets.

The Mandate

The CFO will serve as a close strategic partner to the Chief Executive Officer, board and executive leadership team, with responsibility for financial strategy, public-company reporting, capital allocation, operational finance, M&A, investor engagement and the continued development of a scalable finance organization.

This is not a narrowly defined accounting position. The CFO will be expected to combine technical credibility with commercial judgement, strategic range and a genuine growth orientation.

The role will encompass:

  • Acting as a strategic partner to the CEO and board on growth, capital allocation, organizational priorities and long-term enterprise value.
  • Leading all financial planning, accounting, treasury, tax, reporting, controls, audit, insurance and risk-management activities.
  • Owning accurate and timely SEC reporting, including Forms 10-K, 10-Q and 8-K, earnings preparation and other required public disclosures.
  • Maintaining a rigorous financial close and reporting environment capable of meeting public-company timelines.
  • Establishing and continuously improving internal control over financial reporting, disclosure controls and Sarbanes-Oxley compliance.
  • Leading relationships with the audit committee, PCAOB-registered external auditors, legal advisers, tax advisers and other public-company partners.
  • Building an effective finance organization with the capability, systems and discipline to support rapid growth.
  • Developing a high-quality forecasting and planning function that connects strategic objectives with operational decisions.
  • Providing clear visibility into revenue, margins, working capital, cash requirements, production economics and business performance.
  • Establishing robust product costing, inventory accounting, revenue-recognition and manufacturing-finance capabilities.
  • Partnering with operations and supply chain leadership to improve cost visibility, labor efficiency, inventory management, procurement economics and manufacturing margins.
  • Evaluating financing alternatives and managing the company’s capital structure, liquidity, treasury operations and banking relationships.
  • Supporting the company’s interaction with investors, analysts and the wider capital markets through credible, consistent and transparent financial communication.
  • Ensuring the organization develops the governance, reporting discipline and institutional maturity expected of a listed company without losing its entrepreneurial speed.
Government and complex contracting

The company participates in sophisticated government and institutional procurement environments. The CFO must be capable of developing the financial infrastructure required to pursue and execute these opportunities responsibly.

Relevant responsibilities will include:
  • Establishing accounting practices capable of supporting government contracts, including appropriate segregation of direct and indirect costs.
  • Developing disciplined approaches to indirect-rate structures, cost allocation, contract profitability and program-level financial reporting.
  • Ensuring financial systems and processes can support applicable FAR, CAS and government audit requirements.
  • Understanding the financial implications of fixed-price, cost-reimbursable, time-and-materials and other complex contract structures.
  • Partnering with commercial, legal and program leadership during bid preparation, pricing, contract negotiation and performance.
  • Creating visibility into backlog, funded and unfunded contract value, revenue timing, milestone payments, cost-to-complete and margin risk.
  • Supporting the development of compliant purchasing, billing, timekeeping and contract-accounting systems as the business scales.

Direct experience with government contracting is strongly preferred. At a minimum, candidates must demonstrate the ability to understand and lead within complex acquisition, contracting and regulatory environments.

M&A and strategic growth

Acquisitions are expected to remain an important component of the company’s growth strategy. The CFO will play a central role across the full transaction lifecycle.

This will include:
  • Assessing acquisition opportunities in the context of strategic fit, valuation, risk and capital allocation.
  • Leading financial due diligence, transaction modeling and quality-of-earnings analysis.
  • Evaluating deal structures, financing alternatives and the potential impact on shareholders.
  • Overseeing purchase accounting, opening balance sheets and the financial treatment of acquired businesses.
  • Building disciplined integration plans across finance, controls, systems, reporting and operations.
  • Establishing meaningful synergy targets and holding the organization accountable for delivery.
  • Ensuring acquisitions are integrated without undermining operational momentum or financial control.

The successful candidate will have a strong M&A record and be able to demonstrate sound judgement both in completing transactions and in recommending when the company should walk away.

International expansion

The company expects to generate growth across multiple international markets. The CFO will help create an operating and financial structure that supports international sales while managing the associated complexity.

This will require experience or strong working knowledge across:
  • International contracting, pricing, payment structures and customer-credit risk.
  • Multicurrency forecasting, foreign-exchange exposure and cash repatriation.
  • International tax, transfer pricing and legal-entity structuring.
  • Export-related financial controls and cross-border compliance.
  • Letters of credit, performance guarantees, milestone payments and other instruments commonly used in complex international transactions.
  • Establishing overseas entities, local banking arrangements and appropriate financial oversight.
  • Evaluating international opportunities based on risk-adjusted returns rather than headline revenue alone.
The profile

This position requires a rare combination of public-company experience, technical financial expertise, strategic ability and operating leadership.

Candidates must bring:
  • Prior experience as the Chief Financial Officer of a Nasdaq or NYSE-listed company.
  • Direct ownership of SEC reporting, public-company audit, disclosure controls and board-level financial reporting.
  • Experience working closely with an audit committee and independent directors.
  • A strong understanding of US GAAP, internal control over financial reporting and Sarbanes-Oxley requirements.
  • Evidence of building or materially improving the finance infrastructure of a newly listed, rapidly growing or significantly transformed company.
  • Meaningful experience within advanced manufacturing, industrial technology, complex hardware or another product-based operating environment.
  • Strong manufacturing-finance capabilities, including product costing, inventory, working capital, margin analysis and capital expenditure.
  • A successful record in M&A, including diligence, valuation, transaction execution and post-acquisition integration.
  • Experience raising or allocating capital within a public-company environment.
  • The ability to engage credibly with institutional investors, analysts, auditors, advisers and the board.
  • Excellent leadership skills and a record of recruiting, developing and retaining high-calibre finance teams.

Experience with government contracting, international sales and regulated customer environments will be highly valuable.

The right individual will know how to build controls without allowing the finance function to become bureaucratic. They will be comfortable challenging assumptions, making difficult capital-allocation decisions and bringing clarity to situations where information is incomplete.

They must be able to move fluently between technical accounting, capital markets, operational performance and long-term strategy. They should be capable of explaining complex issues clearly, earning the confidence of the board and investors, and developing strong relationships across the organization.

This individual must also be a builder. The company needs someone who can assess what is missing, establish the right capabilities and develop a finance organization that remains effective as the business becomes larger, more international and more complex.
