Job summary

Winston Taylor is seeking an associate with 4-6 years of experience in private equity fund formation to join its office in Chicago, Charlotte, or New York. Job description

Winston Taylor is looking for an associate with 4‑6 years of significant experience in private equity fund formation and related matters. Ideally, the candidate has experience (preferably at a large law firm or, in special circumstances, an in‑house setting) in:

• assisting private equity fund sponsors on fund formation matters, including the preparation and negotiation of fund private placement memoranda, partnership agreements, and related ancillary agreements;
• reviewing fund documentation on behalf of institutional investors and negotiating fund terms;
• structuring and drafting governing documents pertaining to private equity fund management companies and general partners.

The candidate should have a working knowledge of relevant securities rules and regulations, including the Investment Advisers Act. Experience with private equity secondary transactions and/or GP‑led restructurings would also be helpful.

While the firm is looking for candidates to place in its Chicago, Charlotte, or New York office, candidates for other offices will be considered. All candidates must be admitted to the state bar of their office location.
