Job summary

Winston Taylor LLP in Chicago seeks an experienced private equity funds attorney to lead fund formation projects, draft key agreements, and negotiate term sheets. Your work will include PPM drafting, partnership agreements, and ancillary documents for fund sponsors.

You will review fund documentation for institutional investors, negotiate terms, and structure governing documents for PE fund management companies and GPs.

Qualifications

• Experience assisting private equity fund sponsors with fund formation and related documentation.
• Experience reviewing fund documents for institutional investors and negotiating fund terms.
• Knowledge of securities rules, including the Investment Advisers Act.
• Experience with private equity secondary transactions or GP-led restructurings is a plus.

Responsibilities

• Assist with fund formation including drafting and negotiating PPMs, partnership agreements, and ancillary documents.
• Review fund documentation for institutional investors and negotiate fund terms.
• Structure and draft governing documents for private equity fund management companies and general partners.
• Apply knowledge of securities regulations, including the Investment Advisers Act.
