Overview

• Supports Foley & Lardner LLP's Capital Markets & Public Company Advisory practice within the Transactions Practice Group, which advises public and private companies on securities offerings, SEC reporting and compliance, corporate governance, and other capital markets matters.


• Required experience includes advising public companies on periodic and current reports under the Securities Exchange Act of 1934, proxy statements, annual meeting matters, and other disclosure and securities law compliance.


• Experience with public and private capital-raising transactions is required, encompassing drafting registration statements, prospectuses, offering memoranda, and related transaction documents.


• Candidates must also have experience with corporate governance matters, including board and committee practices, fiduciary duty considerations, and compliance with applicable stock exchange rules.


• Experience counseling clients on day-to-day public company matters and working directly with company legal and finance teams is valued.
