The role requires a J.D., active bar in at least one U.S. jurisdiction, and 3–8+ years of relevant experience, with a hybrid work arrangement and a competitive base salary plus performance bonus.

Qualifikationen

• J.D. from an accredited law school.
• Active bar admission in at least one U.S. jurisdiction.
• 3–8+ years of capital markets, securities, or corporate law experience.
• IPO experience.

Aufgaben

• Advise clients on public and private securities offerings, including IPOs and follow-on offerings.
• Draft, review, and negotiate Registration statements, Prospectuses, Underwriting and Purchase agreements.
• Advise on compliance with securities laws and stock exchange requirements.
• Assist with periodic reporting obligations (Forms 10-K, 10-Q, 8-K).
