Qualifications

• J.D. from a leading law school.
• Admitted to practice in New York or eligible for admission in New York.
• 5+ years of capital markets experience gained at a leading law firm.
• Experience representing issuers, underwriters, and placement agents in public offerings, private placements, and other securities transactions.
• Strong understanding of securities law compliance and reporting requirements under the Securities Act of 1933 and Securities Exchange Act of 1934.
• Proven ability to assume significant responsibility on transactions and manage multiple workstreams.
• Excellent drafting, analytical, and client-facing skills.

Responsibilities

• Advise issuers, underwriters, and placement agents on public and private securities offerings.
• Lead and manage key aspects of transactions from due diligence through closing.
• Draft and negotiate offering documents, disclosure materials, and transaction documentation.
• Counsel clients on Securities Act and Exchange Act compliance, corporate governance, and ongoing reporting obligations.
• Work closely with clients on complex domestic and cross-border financings.
• Collaborate with colleagues across multiple offices and practice groups on multi-jurisdictional matters.
