The ideal candidate has 2–3 years of experience in Securities Act transactions, Exchange Act compliance, and corporate governance matters, with a strong academic record and a JD from a top-tier law school.

Qualifications

• JD from a top-tier law school with excellent academic record.
• Active Bar Admission in the applicable jurisdiction.
• 2–3 years of substantive experience in Securities Act transactions and governance.

Responsibilities

• Advise issuers, underwriters, and investors on capital markets transactions.
• Represent clients in debt/ equity offerings and Rule 144A deals.
• Counsel public companies on SEC reporting and governance obligations.
• Assist boards on shareholder engagement and listing requirements.
• Collaborate with international issuers, underwriters, and investors.
