Responsibilities

• Advise clients on public and private securities offerings, including IPOs, follow-on offerings, registered direct offerings, PIPE transactions, and private placements.
• Draft and review registration statements, prospectuses, offering memoranda, and related transaction documentation.
• Prepare and review SEC filings, including Forms 10-K, 10-Q, 8-K, and proxy statements.
• Counsel public companies regarding securities law compliance, disclosure obligations, and corporate governance issues.
• Conduct legal due diligence for securities offerings and corporate transactions.
• Assist with transaction execution from inception through closing.
• Collaborate with partners and clients on strategic capital-raising initiatives.
• Research and analyze securities regulations, stock exchange requirements, and legal developments.
• Support publicly traded and emerging growth companies with ongoing reporting and regulatory matters.
