About the Role
Our client is seeking a Corporate Associate – Securities/Capital Markets to join its Capital Markets practice group. Exceptional candidates may also be considered for remote opportunities in other markets.
The Capital Markets team represents issuers, investment banks, investors, and other market participants in a broad range of debt, equity, and structured transactions, while also advising investment banks on regulatory compliance and advisory matters.
The ideal candidate will have 3–5 years of experience in securities law and capital markets transactions, preferably gained at a large law firm, with substantial experience advising clients on public securities offerings and related corporate and regulatory matters.
Key Responsibilities
- Advise issuers, investment banks, investors, and other market participants on capital markets transactions.
- Handle public securities offerings, including IPOs, registered direct offerings, structured deals, and PIPE transactions.
- Advise clients regarding securities registration and regulatory requirements.
- Draft and review registration statements and offering documents.
- Draft and negotiate registered direct purchase agreements and PIPE agreements.
- Manage capital markets transactions from inception through closing.
- Lead and coordinate due diligence teams.
- Advise public companies regarding reporting obligations and corporate governance matters.
- Work closely with clients, investment banks, financial institutions, and other transaction professionals.
- Manage multiple complex assignments with minimal supervision.
- Collaborate with attorneys across practice groups to deliver comprehensive, client-focused solutions.
Required Qualifications
- 3–5 years of experience in securities law and capital markets transactions.
- Experience working at a large law firm.
- Strong knowledge of capital markets and securities regulations.
- Experience with public securities offerings, including:
- Initial Public Offerings (IPOs)
- Registered direct offerings
- Structured transactions
- Experience drafting registration statements, registered direct purchase agreements, PIPE agreements, and other offering documents.
- Experience managing transactions and leading due diligence teams.
- Strong understanding of securities registration requirements.
- Excellent legal writing and communication skills.
- Superior academic credentials.
- Ability to manage multiple assignments and work independently with minimal supervision.

The anticipated initial annual salary range is $180,000–$300,000, depending on relevant skills, experience, location, and other job-related factors.
