Job Overview

A law firm seeks a mid to senior-level corporate associate to join its capital markets group in Seattle, WA. The associate will engage in public company reporting, compliance, corporate governance, and capital markets, working closely with public companies. This role offers the opportunity to be part of a dynamic securities practice within a leading firm.

Duties

• Conduct thorough legal research and analysis to support transactions.
• Draft precise legal documents, including memos and contracts.
• Assist in managing complex transactions from inception to resolution.
• Build and maintain strong client relationships.
• Collaborate with colleagues to develop innovative transaction strategies.
• Participate in high-level legal activities, including client meetings.
• Ensure compliance with legal standards and regulations.

Requirements

• Minimum 4 years of experience in public company and capital markets.
• Experience with public companies and periodic reporting.
• Strong knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934.
• Experience with Nasdaq and NYSE listing and governance requirements.
• Experience with issuers, underwriters, and financial intermediaries.
• AmLaw 100 law firm experience preferred.
• EducationJD degree from an accredited law school.
