Qualifications

• Bachelor's degree or equivalent professional experience.

Responsibilities

• Conduct research, prepare memoranda and reports, and assist in drafting Board and Committee materials.
• Support Board Governance and Nominating Committee meetings; draft agendas and annual plan; coordinate materials delivery.
• Assist with Director & Officer questionnaires, independence reviews, related party analysis, and governance compliance tasks.
• Prepare governance disclosures for the proxy statement and coordinate filings with NYSE, California SoS, and regulators as required.
• Support governance content on the company website and other platforms; assist with records retention and document management.
• Provide back-up support for SEC reporting, Forms 8-K, and insider trading compliance; assist with 16 reporting as needed.
• Recommend process improvements and automation using governance tech and AI-enabled tools to streamline workflows.
• Organize and manage confidential projects with sound judgment and attention to detail.
