Job summary

SEI Investments Company is seeking a transactional attorney to draft, negotiate, and manage commercial contracts across multiple SEI business teams. Job description

In the role of Transactional Attorney (“Attorney”), you will be responsible for working with numerous SEI business teams and other members of the Legal, Compliance, Risk and Corporate Development Department to structure, draft, negotiate and manage the execution of commercial contracts on behalf of the SEI group of companies.

You will manage various types of commercial arrangements (e.g. confidentiality agreements, software licenses, master services agreements, professional services agreements, SaaS agreements, business process outsourcing agreements, and software development agreements) with vendors to ensure consistency with SEI’s risk and governance structures, contractual commitments and regulatory compliance obligations.

You will work closely with internal product and operations teams, vendor owners, new business development teams, client relationship teams, and executives in various business and competency units to support their efforts while also ensuring such parties’ adherence to applicable standards and procedures.

In addition, you will deal directly with third parties while representing SEI’s interests.

The Attorney is expected to handle a broader range of routine and moderately complex matters with moderate supervision while exercising sound judgment regarding legal, business and operational risks. Experience within the financial services or financial technology industry will be a differentiator for potential candidates.

What you will do:
  • Drafting, negotiating and advising stakeholders with respect to commercial contracts using SEI templates and standards
  • Independently manage routine contract matters and negotiations, seeking guidance on more complex or higher-risk issues as appropriate
  • Educating internal clients with respect to the positions and issues that arise during contractual negotiations
  • Working with internal clients to solve legal, risk and business issues that arise in commercial transactions
  • Understanding and applying regulatory changes to new and existing contracts
  • Managing and prioritizing multiple concurrent projects and transactions
  • Participating in various activities related to corporate governance, regulatory compliance, and third party risk management
  • Populating and maintaining contract files and repositories
  • Assist with the development and refinement of contract templates, playbooks and other legal resources
