The Army and Air Force Exchange Service seeks an Attorney II (Business) for the Dallas HQ to support contracts and business transactions. You will work with internal clients to achieve operational excellence, ensure compliance with state and federal regulations, and advance strategic deals to completion.

Reporting to the Deputy General Counsel - Business Law Branch, you will advise on procurement, negotiations, and reviews across real estate, IT, e-commerce, and related areas.

Qualifications

• Professional law degree (JD) from an accredited law school.
• Member of the bar of the highest court of a state or the District of Columbia.
• Five years of strategic business legal experience as a licensed and practicing attorney.

Responsibilities

• Provides guidance to internal stakeholders throughout the organization as needed using specialized knowledge of applicable laws, regulations, and Department of War guidance/directives.
• Draft, review, and revise solicitations and contracts, amendments, contract administration documents, and various other related legal documents.
• May serve as a point of contact with various entities representing the Exchange in various settings (e.g., Department of Justice, Army Legal Services).
• Analyzes established legislation, prepares legal documents, reviews agency policies, and advises management on legal matters.
• Practices preventive law which may include developing and conducting educational sessions regarding prevention of litigation and recommending changes to policy.
• Ensures compliance with applicable laws and regulations.
• Provides analysis of current and proposed laws and policy and provides counsel to leadership.
• Perform legal research using Lexis and other publicly-available resources.
• Perform other duties as assigned.

Job Description

The Army and Air Force Exchange Service (AAFES or the Exchange) is a nonappropriated fund instrumentality of the Department of War. Established in 1895, the Exchange is the 60th-largest retail organization in the U.S. With annual revenues of $8.6 billion, the Exchange employs 24,000 associates, including military personnel. In 2025, the Exchange generated $307 million for military Quality-of-Life programs. In the last 10 years, the Exchange has returned $2.4 billion to military communities. The Exchange operates more than 5,000 facilities, including department, convenience and Military Clothing stores; restaurants; malls; movie theaters; gas stations; and other specialty services on military installations worldwide. An attorney working for the Business Law Branch of the Office of General Counsel will provide support to various Exchange directorates with respect to contracts and business transactions. The attorney will work with internal clients to achieve operational excellence, ensure compliance with state and federal regulations, consider legal issues of first impression, and move strategic deals through to completion.

This attorney reports to the Deputy General Counsel - Business Law Branch. They are responsible for providing legal advice regarding the laws, regulations, and industry standards that affect non-appropriated fund business operations to include procurement, contract negotiations and review, contract claim litigation, franchise agreements, food services, environmental, tax, telecommunications, banking, information technology, e-commerce, real estate and intellectual property issues.
