Qualifications

• Legal qualifications to practice corporate law in Maryland.
• Experience with mergers and acquisitions, joint ventures, and governance matters.
• Ability to draft, review, and negotiate commercial agreements and NDAs.

Responsibilities

• Provide legal counsel on Corporate Transactions: take point on M&A, joint ventures, governance matters.
• Draft, review, and negotiate a wide range of Commercial Agreements: NDAs, service agreements, vendor contracts.
• Conduct due diligence and assist with Corporate Document Matters: structuring, negotiation, execution of complex deals.
• Advise clients on Compliance: stay up to date with federal and state corporate laws and regulatory requirements.

The Role

• Provide legal counsel on Corporate Transactions: Take point and assist on Mergers and Acquisitions, Joint ventures and Corporate governance matters.
• Draft, review, and negotiate a wide range of Commercial Agreements: Produce and review documents such as NDAs, service agreements, and vendor contracts.
• Conduct due diligence and assist with Corporate Document Matters: Perform diligence on the structuring, negotiation, and execution of complex business deals.
• Advise clients on Compliance: Keep in check and up to date with Federal and State Corporate laws and regulatory requirements
