Qualifications

  • 3–6 years of transactional experience at a major law firm (Am Law 100/200 level).
  • Strong drafting, analytical, and project management skills.
  • Demonstrated experience running workstreams on M&A or private equity transactions.

Responsibilities

  • Draft and negotiate core transaction documents (purchase, merger, investment agreements).
  • Manage due diligence and coordinate multi-jurisdictional deal teams.
  • Provide strategic advice on structuring, risk allocation, and regulatory considerations.
  • Collaborate with tax, finance, and regulatory specialists to deliver integrated advice.
  • Interface directly with clients and opposing counsel throughout all deal phases.

This role offers the opportunity to advise on complex, cross-border transactions and work directly with leading corporations, private equity sponsors, and financial institutions.

About the Role

The associate will support and lead workstreams on a broad range of transactional matters, including:

  • Public and private mergers and acquisitions, including tender offers, asset purchases, stock purchases, mergers, and carve-out transactions
  • Private equity and venture capital investments, including leveraged buyouts, minority investments, and co-investment structures
  • Joint ventures, strategic alliances, and recapitalizations
  • Capital markets transactions, including private placements, Rule 144A/Reg S offerings, and PIPE transactions
  • Corporate governance and securities compliance under the Securities Exchange Act of 1934 and NYSE/Nasdaq listing standards
  • General corporate counseling for portfolio companies and emerging growth entities
