Job summary

Central Business Solutions, Inc. seeks an Attorney Associate (Full-Time) in Calabasas, CA to represent clients in state and federal courts, arbitrations, mediations, and before government agencies.

You will draft pleadings, manage all phases of litigation, and advise on commercial, business, corporate, and real estate transactions. The ideal candidate holds a JD, is admitted to the California State Bar, and has 7–10 years of litigation or real estate transactional experience with strong

Qualifications

• J.D. from an accredited law school.
• Active membership in the California State Bar.
• 7–10 years of litigation and/or real estate transactional experience.
• Strong knowledge of California and Federal laws, rules, and procedures.
• Excellent legal research, drafting, negotiation, and analytical skills.
• Strong written and verbal communication abilities.
• Ability to manage multiple matters independently while collaborating effectively with colleagues.
• Proven ability to build and maintain client relationships.

Responsibilities

• Represent clients in state and federal courts, arbitrations, mediations, and before government agencies.

• Advise clients on commercial, business, corporate, and real estate transactions.

• Draft and review settlement agreements and other transactional documents.
• Prepare and negotiate corporate documents, including formation documents, operating agreements, partnership agreements, subscription agreements, corporate bylaws, and investment structures.

• Draft pleadings, motions, discovery requests, responses, and other litigation documents.
• Manage all phases of litigation, including hearings, trials, arbitrations, and mediations.
• Advise clients on commercial, business, corporate, and real estate transactions.
• Structure, negotiate, and prepare agreements for business and real estate transactions.
• Draft and review settlement agreements and other transactional documents.
• Prepare and negotiate corporate documents, including:
  • Business entity formation documents
  • Operating agreements
  • Partnership agreements
  • Subscription agreements
  • Corporate bylaws
  • Investment and ownership structures
• Build and maintain strong client relationships while providing strategic legal guidance.
• Perform administrative and practice management responsibilities as required.

Required Qualifications
