Zekai is seeking a remote Attorney (Contractor) to contribute to a confidential AI-related project. You will review, redline, and draft commercial agreements, applying company policy positions in technology transactions. This role emphasizes clear legal writing, rigorous analysis, and independent work in a remote, deadline-driven environment.

Ideal candidates hold a JD with active U.S. bar admission and at least 4 years in transactional practice, including drafting, reviewing, and negotiating

Qualifications

• JD from an accredited law school and active bar admission in a U.S. jurisdiction.
• Minimum of 4 years' experience in transactional practice focusing on contract drafting, review, and negotiation.
• Familiarity with commonly negotiated commercial provisions (limitation of liability, indemnification, confidentiality, data protection).
• Ability to synthesize complex legal concepts and deliver clear, actionable written analyses.
• Strong judgment and accuracy in contract review and interpretation.

Responsibilities

• Review and redline commercial agreements, including MSAs, NDAs, DPAs, and similar documents.
• Analyze drafts to identify key issues and determine company positions and acceptable fallback outcomes.
• Draft clear, reasoned written explanations detailing rationale behind each redline or revision.

our partner is engaging Transactional Attorneys to contribute to a confidential project at the intersection of law and AI. In this role, you'll apply your expertise to help train next-generation AI systems. Your work will shape how models learn, reason, and perform through high-quality, real-world input. No prior experience in AI is required — your domain knowledge is what matters. The work draws directly on day-to-day commercial contracting practice: reviewing agreements, marking up drafts, and applying company policy positions the way in-house counsel would.

Scope of Work

• Review and redline commercial agreements, including MSAs, NDAs, DPAs, and similar documents, in accordance with established playbooks and policies.
• Analyze drafts to identify key issues and determine applicable company positions and acceptable fallback outcomes.
• Draft clear, reasoned written explanations detailing the rationale behind each redline or revision.
• Apply advanced contract drafting, negotiation, and technology transactions knowledge to real-world legal documents.
• Collaborate with the project team to ensure consistency of standards and interpretations throughout the engagement.
• Maintain meticulous attention to detail and uphold high standards of legal writing and contract review quality.

Preferred Qualifications

• Juris Doctor (JD) from an accredited law school and active bar admission in a U.S. jurisdiction.
• Minimum of 4 years' experience in transactional practice at a law firm or as an in-house attorney, focusing on contract drafting, review, and negotiation.
• Deep familiarity with commonly negotiated commercial provisions, such as limitation of liability, indemnification, confidentiality, and data protection.
• Proven ability to synthesize complex legal concepts and deliver clear, actionable written analyses.
• Demonstrated sound judgment and a high level of accuracy in contract review and interpretation.
• Expertise in technology transactions considered a strong plus.
• Adaptability and drive to contribute to a high-impact, innovative legal project in a confidential setting.
