Job summary

Amgen is seeking an Associate Paralegal to support the Law Department’s Corporate and Governance team. You will assist with governance matters, regulatory filings, and essential corporate documentation while working in a fast-paced environment.

The ideal candidate will have a strong organizational skill set, solid understanding of corporate law principles, and comfort with AI-enhanced tools and collaboration platforms.

Qualifications

  • Bachelor’s degree required or equivalent experience with related legal work.
  • Candidates with an Associate’s degree and 4 years of legal experience or a high school diploma with 6 years of legal experience may qualify.
  • Paralegal certificate from ABA-approved program preferred.

Responsibilities

  • Assist attorneys with corporate governance matters, including board and committee meetings and regulatory filings.
  • Prepare materials for board meetings, agendas, presentations, and minutes; use board management platforms like BoardVantage.
  • Draft, review, and execute contracts and other legal documents as needed.
  • Maintain corporate records and ensure regulatory compliance.

Associate Paralegal
What You Will Do

Let’s do this. Let’s change the world. In this crucial position, you will: Join our Law Department’s Corporate and Governance team as a Paralegal - Corporate and Governance. This role will provide vital support to the Corporate and Governance Team in corporate governance matters, securities law compliance, and related tasks. The ideal candidate will have the ability to thrive in a fast-paced environment, strong organizational skills, a solid understanding of legal principles, an affinity for technology and its possibilities, and an interest in continuous improvement.

Responsibilities
  • Assist attorneys with corporate governance matters, including board and committee meetings, the annual meeting of stockholders, investor engagement, annual reports, and regulatory filings including:
  • Assist in the preparation of materials for board and committee meetings, including agendas, presentations, and meeting minutes. Familiarity with and use of board management and online D&O questionnaire platforms such BoardVantage preferred.
  • Prepare and file regulatory filings with government agencies, stock exchanges, and other regulatory bodies, ensuring accuracy and timeliness. Familiarity with and use of software and services for the preparation and submission of filings such as EDGAR Next, Active Disclosure, Workiva, Section 16 Manager (Computershare), and programs or agents using artificial intelligence such as ChatGPT and Copilot preferred.
  • Coordinate and schedule meetings, conference calls, and other events related to corporate governance and compliance activities including the Company’s stockholder outreach program.
  • Conduct legal research and gather information on corporate law, securities regulations, and governance best practices as directed by attorneys. Familiarity with and use of online research tools such as ChatGPT, Intelligize, Westlaw, LexisNexis, and Securities Act Handbook (Red Book) preferred.
  • Maintain corporate records, including minute books, board resolutions, and other corporate documents, ensuring compliance with legal and regulatory requirements. Familiarity with and use of cloud-based document retention and collaboration platforms such as SharePoint, OneDrive, and MS Teams preferred.
  • Assist in the drafting, review, and execution of contracts, agreements, and other legal documents as needed.
  • Assist in the management of corporate administrative functions, including drafting and filing of corporate documents, managing signatures, and maintaining corporate databases. Familiarity with and use of DocuSign and subsidiary entity management platforms such as CSC preferred.

Basic Qualifications

Preferred Qualifications
  • Paralegal certificate from an ABA-approved program or equivalent experience preferred.
  • Experience working as a paralegal in a corporate legal department or law firm environment.
  • Strong knowledge of corporate governance principles, securities regulations, and legal procedures.
  • Proficiency in Microsoft Office 365, particularly Word, Excel, and PowerPoint, as well as competency with artificial intelligence technologies such as ChatGPT and document retention and collaboration platforms such as SharePoint and MS Teams.
  • Demonstrated ability to learn and support adoption of new technologies and ways of working.
  • Excellent organizational skills, with the ability to manage multiple tasks, prioritize deadlines effectively, and identify opportunities to streamline or automate existing processes.
  • Strong attention to detail and accuracy in work product, with a commitment to quality and excellence.
  • Excellent written and verbal communication skills, with the ability to interact professionally with internal and external stakeholders.
  • Ability to work independently with minimal supervision and as part of a collaborative team.
  • High ethical standards and integrity, with a commitment to upholding confidentiality and professionalism in all aspects of work.

The expected annual salary range for this role in the U.S. (excluding Puerto Rico) is posted. Actual salary will vary based on several factors including but not limited to, relevant skills, experience, and qualifications.
