Job summary

TRC Talent Solutions is partnering with a growing data center development and infrastructure organization to hire an Associate Counsel. This role will support legal matters related to real estate transactions, financing, data center development, and operational activities.

Responsibilities include drafting, reviewing, and negotiating real estate agreements, supporting financing transactions, and assisting with data center development matters, while ensuring compliance with company policies and

Qualifications

• J.D. from an accredited law school.
• Active membership in at least one U.S. state bar.
• 3–6 years of experience in commercial real estate, financing, and/or data center transactions.
• Experience drafting and negotiating complex transactional agreements.
• Strong ability to identify legal risks and provide practical business-focused solutions.

Responsibilities

• Draft, review, and negotiate real estate agreements, including purchase agreements, leases, and development contracts.
• Support financing transactions, including loan documents, lender due diligence, and related agreements.
• Assist with data center development matters such as utility agreements, power procurement, and infrastructure contracts.
• Conduct legal due diligence involving title, survey, zoning, and environmental reviews.
• Review customer lease terms, identify risks, and support negotiations.
• Partner with internal teams and external stakeholders to resolve transactional issues and maintain project timelines.
• Manage legal documentation, contract files, and closing materials.
• Prepare reports, summaries, and legal analyses for business stakeholders.
• Ensure compliance with company policies and applicable regulations.
• Support process improvements related to contracts and legal operations.

• Strong ability to identify legal risks and provide practical business-focused solutions.
• Strong analytical, organizational, and communication skills.
• Proficiency with Microsoft Word, Excel, SharePoint, and Teams.
• Ability to manage multiple priorities in a fast-paced environment.

Preferred Qualifications

• Experience working with lenders, developers, utilities, or data center operators.
• Background in data center, commercial real estate, or project finance transactions.
