Job summary

Quest Talent Solutions seeks an Associate Counsel to support real estate, financing, and data center development activities for a development company in the data center space.

You will draft, review, and negotiate complex transactional documents, manage due diligence, and collaborate with internal teams and external stakeholders to keep projects moving.

This role requires a J.D., bar admission, and 3–6 years of experience in commercial real estate, financing, or related data center transactions.

Qualifications

• J.D. from an accredited law school and active membership in at least one U.S. state bar.
• 3-6 years of experience in commercial real estate, financing, and/or data center-related transactions.
• Experience drafting and negotiating complex transactional documents.
• Strong ability to identify legal risk and work collaboratively with business teams to develop practical solutions.
• Experience working with lenders, developers, utilities, and/or data center operators is a plus.
• Strong organizational, analytical, negotiation, and communication skills.

Responsibilities

• Draft, review, and negotiate real estate documents, including purchase agreements, leases, development agreements, and other transactional materials.
• Support financing transactions, including loan documents, credit facilities, security instruments, and lender due diligence.
• Assist with data center development matters involving power procurement, utility agreements, and infrastructure-related contracts.
• Conduct legal due diligence for acquisitions, leasing, and development projects, including title, survey, zoning, and environmental review.
• Review customer lease terms, identify potential risks, and support negotiation strategies.
• Partner with internal teams to resolve transactional issues and help keep projects moving forward.
• Maintain organized legal documentation and identify opportunities to improve contract processes and workflows.
