Job summary

The Bachrach Group is seeking an experienced attorney for a prestigious direct lending company in Midtown Manhattan. The role requires 10+ years of legal experience, with a rare mix of law firm and in-house work for an investment adviser.

You will handle complex transactional, governance, and regulatory matters across lending and asset management, emphasizing mergers, acquisitions, equity transactions, and portfolio company governance, with strong negotiation skills.

Qualifications

• 10+ years of legal experience in corporate, transactional, or regulatory practice.
• Combined law firm and in-house experience with a registered investment adviser preferred.
• Experience across mergers, acquisitions, equity transactions, and governance of portfolio companies.
• Ability to review and negotiate NDAs, engagement letters, service agreements, and SOWs.

• Advise on complex transactional, governance, and regulatory matters across lending and asset management businesses.
• Manage a broad range of corporate and transactional matters with focus on M&A and equity transactions.
• Review, revise, and negotiate commercial agreements including NDAs, engagement letters, service/vendor agreements, and SOWs.

Job description

• Prestigious Direct Lending company is looking for an experienced attorney to provide support to their clients. Seeking someone with 10+ years of legal experience, ideally a combination of law firm and in-house experience with a registered investment adviser, to join the legal department. Will work on complex transactional, governance, and regulatory matters across their lending and asset management businesses. Will manage a broad range of corporate and transactional matters, with a focus on mergers, acquisitions, and equity transactions, portfolio company governance and management, and investment adviser work for their private credit funds. Review, revise, and negotiate a range of commercial agreements, including: NDAs, Engagement letters, Service and Vendor Agreements and Statements of Work.

Hybrid work schedule with 4 days in the office, unlimited PTO and great benefits plus bonus. Midtown Manhattan location.
