Role Overview

Our client is a publicly traded designer, manufacturer, and seller of on-site energy systems that generate clean, affordable, abundant, and resilient power. Solutus Legal Search has been exclusively retained to assist in hiring a seasoned attorney for the position of AGC (Senior Director level), Securities and Governance. The role reports directly to the Chief Legal Officer and is based in San Jose.

Responsibilities
  • Assist the CLO in ensuring compliance with SEC laws, NYSE rules, Sarbanes-Oxley, and 1934 Act; manage related reports (10-K, 10-Q, 8-K, proxy statements).
  • Collaborate with the CLO and CFO on earnings releases, investor conferences, disclosures, and shareholder proposals.
  • Develop corporate policies, procedures, and programs for a public company; advise on legal, regulatory, and compliance issues; serve as legal advisor on equity and debt financings, acquisitions, divestitures, and joint ventures.
  • Stay updated on governance trends and assist with Board activities.
  • Support the compliance program development and oversee legal aspects of mergers and acquisitions, due diligence, and international expansion.
  • Advise on international legal issues, support stock administration, and oversee subsidiaries.
  • Keep the legal team informed on SEC issues, governance trends, and legal best practices.
Qualifications
  • Minimum 15 years of relevant legal experience, including at least 6 years at a law firm or in-house at a public company.
  • Bachelor’s degree and JD from an accredited law school.
  • Experience in compliance, international law, manufacturing, or energy sectors preferred.
Compensation

Base salary ranges from $280,000 to $320,000, with potential for a 30% bonus and equity, depending on experience.
