Position Description

Are you a seasoned commercial lending attorney looking for an opportunity to work on sophisticated financing transactions while partnering directly with business leaders? We are seeking an experienced Associate General Counsel to provide practical, business-focused legal advice supporting the Bank's lending and credit operations.

In this role, you will help structure, negotiate, document, and manage a broad range of commercial lending transactions, including bilateral and syndicated loans, loan participations, agribusiness financing, capital markets transactions, and other credit-related matters. You will work closely with the VP, Associate General Counsel and business stakeholders across the organization to help drive successful outcomes while managing legal and regulatory risk.

As part of a collaborative and engaged legal team, you'll have opportunities to expand your experience beyond lending and credit work through involvement in complex regulatory, operational, and strategic initiatives across the organization.

Day-to-Day Duties And Responsibilities
  • Draft, review, and negotiate lending and transactional documents, including credit agreements, participation agreements, collateral documents, and intercreditor arrangements.
  • Provide counsel on commercial lending and credit matters, including the structuring, negotiation, and documentation of bilateral, syndicated, participation, agribusiness, and capital markets transactions.
  • Advise credit and lending teams on intercreditor arrangements, subordination agreements, and lien priority issues, and portfolio management matters, challenged credits, collateral enforcement, legal risk, and recovery strategies.
  • Collaborate with internal business units to help identify and manage legal, regulatory, reputational, and credit-related risks while supporting transaction execution.
  • Provide guidance on the Farm Credit Act, regulations, scope and eligibility requirements, credit risk considerations, and other laws affecting lending operations.
  • Manage legal and regulatory support matters, including tax exemption issues, lien and easement research, mineral interest requests, legal holds, subpoena responses, counterparty due diligence, and KYC requests.
  • Collaborate with other members of the legal team on matters across the organization, including regulatory, operational, transactional, litigation, due diligence, and corporate initiatives.
What You Bring To The Team

Our ideal candidate is a collaborative attorney who enjoys working directly with business leaders, solving complex legal challenges, and supporting sophisticated financing transactions within a highly regulated financial services environment.

This role requires a combination of commercial lending expertise, transactional experience, legal analysis, and business partnership skills, including:

  • Juris Doctor (JD) from an accredited law school; active license to practice law, preferably Texas.
  • Minimum 5+ years of experience in commercial lending.
  • Ability to work onsite in the Bank's Austin, Texas office.
  • Strong working knowledge of lending laws and regulations, including consumer and commercial lending requirements, secured transactions, real estate finance, bankruptcy, and related areas.
  • Demonstrated experience drafting and negotiating loan documentation for complex commercial lending transactions, including multi-lender facilities, syndicated loans, asset-based lending, acquisition financing, loan restructurings, revolving lines of credit, term loans and equipment loans.
  • Experience with asset securitization and leveraged finance, mezzanine and subordinated financing; and workouts, debt restructurings, bankruptcies and debtor-in-possession financing is highly desirable.
  • Familiarity with agricultural and agribusiness lending, the Farm Credit System or another highly regulated financial services environment is a plus.
