Job summary

PACE Equity Finance seeks an Associate General Counsel to support legal, transactional, and strategic initiatives in commercial real estate finance and C-PACE.

You will work with executive leadership and teams across originations, underwriting, capital markets, servicing, and outside counsel on structuring, closing, and regulatory matters.

Candidates should have 3–5 years of CRE/real estate finance experience and be licensed to practice in the U.S.; prior C-PACE exposure is a plus.

Qualifications

• J.D. from an accredited law school.
• Bar admission in at least one U.S. jurisdiction.
• 3–5 years of legal experience in CRE, real estate finance, construction lending, or structured finance.
• Experience with commercial real estate transactions and finance.
• Strong drafting, negotiation, and analytical skills.
• Ability to manage multiple projects in a fast-paced environment.

Responsibilities

• Review, negotiate, and manage commercial real estate financing documents.
• Support structuring and closing of C-PACE transactions nationwide.
• Review loan documents, intercreditor, subordination, guaranties, and related documents.
• Assist with construction financing, draw structures, and lender coordination.
• Coordinate legal diligence and closing requirements with internal teams and outside counsel.
• Support warehouse lending facilities, loan sale transactions, and structured finance programs.
• Assist with securitization transactions and related legal documentation.
• Review transaction agreements involving trustees, custodians, servicers, rating agencies, and institutional investors.
• Coordinate legal workstreams among multiple transaction parties.
