Job summary

Talently, a Dallas-based private investment firm, seeks an Associate General Counsel to partner with senior leadership and portfolio companies on a broad range of transactional and operational legal matters. This role combines deal execution with strategic legal counsel in a fast-paced environment.

The ideal candidate will be business-minded, hold a J.D. and Texas bar, and bring 7+ years of M&A/PE experience, with proven ability to manage outside counsel and mentor teams.

Qualifications

  • J.D. from an accredited law school and admission to the Texas bar are required.
  • 7+ years of relevant legal experience with strong M&A/private equity background.
  • Experience handling commercial contracts, employment, real estate, financing, and risk management.

Responsibilities

  • Lead and support private M&A transactions, including acquisitions, divestitures, due diligence, negotiations, and closings.
  • Advise portfolio companies on commercial agreements, employment matters, real estate, financing, and business risks.
  • Manage outside counsel across transactions and specialized legal matters.
  • Partner with senior executives and investment teams to provide legal guidance.
  • Support corporate governance, entity matters, and investment-related legal needs.
  • Help enhance legal processes and contribute to growth of the legal function.

This role provides the opportunity to work closely with senior leadership and portfolio company executives while handling a broad range of transactional and operational legal matters. The ideal candidate will be a business-minded attorney who enjoys both deal execution and serving as a strategic legal partner to the business.

Responsibilities:
  • Lead and support private M&A transactions, including acquisitions, divestitures, due diligence, negotiations, and closings.
  • Serve as a key legal advisor to portfolio companies on commercial agreements, employment matters, real estate, financing, and general business risks.
  • Manage outside counsel across transactions and specialized legal matters.
  • Partner with senior executives and investment teams to provide legal guidance.
  • Support corporate governance, entity matters, and other legal needs related to investment activities.
  • Help enhance legal processes and contribute to the continued growth of the legal function.
Must-Have Skills:
  • J.D. from an accredited law school and admission to the Texas bar.
  • 7+ years of relevant legal experience with a strong background in M&A and private equity.
  • Experience handling a broad range of matters, including commercial contracts, employment, real estate, financing, and risk management.
  • Strong business judgment with the ability to advise senior executives and business leaders.
  • Demonstrated leadership ability through mentoring, managing matters independently, or leading initiatives.
  • Experience effectively managing outside counsel.
Nice-to-Have Skills:
  • Biglaw experience.
  • Experience with investment firms or portfolio companies.
  • Exposure to fund structures, governance matters, or securities-related issues.
  • Experience supporting companies across multiple industries.
