Job summary

Compass International Holdings is seeking an Associate Counsel to join our in-house Legal Team. You will draft, review, and negotiate customer contracts (including agent independent contractor agreements and NDAs) and advise business teams on legal issues while helping scale standard forms and processes.

Required: JD with bar admission (NY bar a plus) and 2+ years in top-tier law firm or in-house corporate practice; strong drafting and negotiation skills; ability to handle multiple deliverables

Responsibilities

• Draft, review, and negotiate customer contracts (including agent IC agreements and NDAs).
• Interpret terms and identify risks for business stakeholders.
• Collaborate with sales, finance, product and engineering on legal issues and policy.
• Support improvement of standard form agreements and legal processes (automation and efficiency).
• Maintain contracts for compliance with Compass policies and risk tolerance.
• Provide first line of defense in dispute resolution.

Your contributions will be impactful, value driven, and you will play an instrumental role on the Compass International Holdings Legal Team.

At Compass International Holdings You Will:

• Draft, review, and negotiate a wide range of routine and mission-critical customer contracts (including agent independent contractor agreements and non-disclosure agreements) that support and enable our business operations
• Interpret contractual terms and identify associated risks to relevant business stakeholders
• Collaborate with various business teams at Compass (including sales, sales leadership, regional leadership, growth, finance, and product and engineering) - advising on legal issues, approval processes, Compass policies and procedures, and business strategy in a business-friendly manner
• Support the continuous improvement of standard form agreements and legal processes (including automation efforts), with an emphasis on efficiency and scalability
• Participate in the maintenance of various contracts to ensure compliance with Compass policies and risk tolerance
• Provide first line of defense in dispute resolution

What We Look For:

• Strong academic credentials including a JD and membership in good standing in at least one state bar (NY bar a plus)
• 2+ years of top-tier law firm and/or in-house experience with a focus on corporate matters
• Background in contract drafting and negotiation
• Confidence operating in a fast-paced environment
• Detail-oriented with superior organizational skills
• A creative thinker with strong problem solving skills and the ability to stay calm, work independently, and effectively manage multiple deliverables with time-sensitive deadlines
• A team player with low ego who can effectively work with other attorneys and colleagues
• Exceptional written and verbal communication skills and an ability to clearly and simply explain complex ideas
• Familiarity and comfort in utilizing AI

Compensation:

The base pay range for this position is $150,000-$170,000 annually; however, base pay offered may vary depending on job-related knowledge, skills, and experience. Bonuses and restricted stock units may be provided as part of the compensation package, in addition to a full range of benefits. Base pay is based on market location. Minimum wage for the position will always be met.
