About this role:

The Associate Corporate Counsel — Insurance & Regulatory is a bilingual (English/Spanish) in-house attorney who serves as the primary executor of legal work across insurance regulatory affairs, litigation, claims, agent matters, and cross-functional legal support within BMI Financial Group's U.S. and offshore operations. Operating under the direction of the Vice President, Legal — Offshore & U.S. Operations, this attorney handles day-to-day legal matters, drafts regulatory responses, supports litigation strategy, advises on agent‑related legal issues, and provides legal assistance to Human Resources and other internal departments. This role is instrumental in enabling the VP Legal to focus on strategic oversight, senior decision‑making, and complex matters requiring executive‑level judgment, while ensuring the business receives timely and high‑quality legal support across all insurance‑related areas.

Main Responsibilities:
  • Draft, review, and finalize written responses to Florida Office of Insurance Regulation (OIR) Consumer Services inquiries and complaints, ensuring accuracy, regulatory compliance, and timely submission within OIR‑mandated deadlines.
  • Research applicable Florida insurance statutes, regulations, and OIR guidance to support regulatory responses and internal legal opinions.
  • Prepare and organize supporting documentation, policy records, and evidence packages required for OIR complaint responses and market conduct matters.
  • Track and monitor the status of all pending OIR consumer complaints and regulatory inquiries, maintaining a current log and escalating matters requiring VP or General Counsel involvement.
  • Assist in the preparation of responses to regulatory examinations, market conduct reviews, and targeted examinations conducted by the Florida OIR or Puerto Rico OCI.
  • Support the monitoring and analysis of new Florida and Puerto Rico insurance legislation and regulatory guidance; summarize developments and flag operational impacts for the VP Legal.
  • Assist with product filing submissions, policy form reviews, and endorsement filings in coordination with the actuarial and product teams.
Litigation Support & Claims
  • Support the VP Legal in managing the Company's litigation portfolio, including drafting litigation hold notices, organizing case files, preparing chronologies, and coordinating document production requests.
  • Conduct legal research on coverage issues, bad faith standards, policy interpretation questions, and procedural matters across Florida and Puerto Rico jurisdictions.
  • Draft correspondence to claimants, opposing counsel, and courts under the direction of the VP Legal or outside defense counsel.
  • Review and analyze complex and contested claim files, providing written legal assessments of coverage positions and litigation risk.
  • Coordinate with the claims operations team on legally sensitive claims requiring attorney oversight, including those involving potential extra‑contractual exposure.
  • Assist in preparing for mediations, arbitrations, and settlement negotiations, including organizing relevant documentation and drafting settlement agreements.
  • Liaise with external defense counsel, ensuring responsiveness, adherence to billing guidelines, and alignment with the Company's legal strategy.
  • Maintain the litigation tracking log and assist in preparing periodic litigation reports for the General Counsel and Finance.
  • Provide day‑to‑day legal support on agent‑related matters, including reviewing agency agreements, drafting termination letters, and advising the distribution and commercial teams on contractual rights and remedies.
  • Support investigations into alleged agent misconduct and fraud — including fabrication of clients, misappropriation of premiums, unauthorized use of financial instruments, and policy churning — by reviewing documentation, preparing legal analyses, and coordinating with the Compliance and Investigations teams.
  • Draft legal notices, cure letters, suspension notices, and termination‑for‑cause communications to agents and general agencies under the direction of the VP Legal.
  • Assist in the preparation of commission clawback claims and civil recovery actions against agents where financial harm to the Company has occurred.
  • Support the reporting of agent fraud matters to applicable regulatory authorities (Florida OIR, Puerto Rico OCI) and coordinate with external counsel on any related civil or criminal proceedings.
  • Conduct legal research on state licensing requirements, agent appointment obligations, and regulatory obligations applicable to BMI's distribution network.
Human Resources Legal Support
  • Provide legal research and drafting support on employment law matters applicable to U.S. operations, including FLSA, FMLA, ADA.
  • Draft and review employment agreements, independent contractor arrangements, offer letters with non‑standard terms, severance agreements, and HR‑related policy documents.
  • Assist HR in responding to EEOC charges, demand letters, and other employment‑related claims under the direction of the VP Legal.
  • Research and summarize employment law developments relevant to BMI's workforce across Florida and Puerto Rico.
Insurance Legal Research & Internal Advisory
  • Conduct legal research on insurance law questions arising across the business — including policy interpretation, coverage analysis, insurer obligations under Florida and Puerto Rico law, and regulatory requirements applicable to life and health insurance products.
  • Prepare legal memoranda, opinion letters, and research summaries on insurance regulatory and compliance topics for internal use by the VP Legal, General Counsel, or business leadership.
  • Advise internal departments on day‑to‑day legal questions within the insurance regulatory and litigation practice areas, escalating complex matters to the VP Legal.
  • Support the review of policy forms, endorsements, and product disclosures from a legal and regulatory compliance perspective.
Special Projects & Cross‑Functional Support
  • Provide legal support for special projects assigned by the VP Legal or General Counsel, including new market initiatives, regulatory filings for new products, corporate governance matters, and M&A due diligence.
  • Assist with the maintenance of the Company's legal entity records, regulatory license renewals, and officer/director documentation across U.S. and offshore entities.
  • Support the implementation and use of the Company's contract lifecycle management (CLM) system for matters within this attorney's practice area.
  • Participate in cross‑functional project teams as the legal representative for insurance regulatory and litigation matters.
  • Perform other legal research, drafting, and advisory tasks as assigned by the VP Legal or General Counsel.
Qualifications:
