HES Facilities Management, headquartered in Knoxville, Tennessee, seeks an Associate Corporate Counsel to support the legal department across operations, sales, finance, technology and human resources in the US.

Under In-House Counsel, you will review and draft contracts, negotiate terms, and perform regulatory compliance and risk analysis to guide business decisions. This role offers collaboration with outside counsel and internal teams.

Competenze

• JD required from an accredited law school.
• Active membership in a state bar in good standing.
• 1–3 years’ experience as a practicing attorney with strong experience in commercial contracts; corporate law background preferred.

TITLE : Associate Corporate Counsel

Job Objective:

Under the direction of In-House Counsel and in compliance with corporate policy, Federal, State, and Local laws, assists in the administration of the legal activities of Company in the US to achieve company objectives through effective and efficient legal counsel. Individual supports the Company’s legal department, and provides legal counsel to the team leaders of Operations, Sales, Finance, Technology, & Human Resources.

Act as a standard-bearer for our Company values and philosophy and implement and maintain all necessary programs to achieve Corporate Mission and Goals;

• Evaluates legal documents and contracts to limit risk and maximize benefits in line with Company culture and policy;
• Represents the company in legal matters;
• Conducts legal research and risk analysis to guide business decisions;
• Engages in issue spotting, risk assessment, and problem solving on a daily basis;
• Maintains confidentiality for all sensitive and protected information;
• Keeps informed on legislative and regulatory changes that affect the company;
• Coordinates with outside counsel as necessary and as directed;
• Negotiates, analyzes, and drafts contracts;
• Reviews applicable statutes and regulations;
• Assist with the preparation of responses to various regulatory inquiries;
• May conduct company training on legal topics;
• May assist with regulatory examinations conducted by external agencies;
• May prepare and review various business registration and licensure;
• May collaborate with business partners on risk management and regulatory issues;
• Works collaboratively with other members of the legal team to achieve optimal results for the Company;
• Performs other duties and responsibilities as may be assigned

Minimum Qualifications

The requirements listed below are representative of the minimal education, experience, knowledge, skills, and/or abilities required for this position.

License: Active membership in a state bar, in good standing

Education: JD degree from an accredited law school

Experience: 1-3 years experience as a practicing attorney with strong experience in commercial contracts, corporate law background preferred [CS1] .

Skills:

• Knowledge of outsourcing/contracted services market preferred;
• Computer literacy; including Excel, PowerPoint, and Word proficiencies;
• Excellent Oral and Written Communication Skills;
• Strong organization, analytical, and negotiation skills;
• Must possess a positive and optimistic attitude;
• Must be comfortable with responsibility, accountability, and opportunity to direct your own efforts;
• Possess a strong attention to detail, ability to prioritize multiple tasks, delegate, and meet deadlines in complex situations;
