Job summary

InfoTrack in San Francisco, CA, is seeking a senior legal professional to draft, review, and negotiate a broad range of commercial agreements, including SaaS and data licenses, while advising on regulatory, privacy, IP, and employment topics across the product lifecycle.

You will partner with Product and Engineering, support corporate governance, data security, and regulatory compliance, and help build scalable legal processes.

Qualifications

  • Juris Doctor degree from an accredited law school.
  • Active membership in good standing with the California State Bar.
  • Three or more years of relevant legal experience, ideally including law firm and/or in-house experience.
  • Experience drafting, reviewing, and negotiating commercial agreements, particularly tech-related.
  • Experience advising business stakeholders directly and translating legal analysis into practical guidance.
  • Strong written and verbal communication skills, including contract drafting and negotiation.
  • Sound commercial judgment with the ability to provide practical risk-based advice.
  • Ability to work across functions and build collaborative relationships.

Responsibilities

  • Draft, review, and negotiate a broad range of commercial agreements, including SaaS and subscription agreements, MSAs, SLAs, vendor agreements, data licensing, and NDAs.
  • Manage commercial legal matters end to end from intake through post-signature obligations.
  • Provide product counsel on regulatory, privacy, IP, consumer protection, and contractual issues.
  • Review terms, documentation, disclosures, and marketing claims for legal/regulatory adequacy.
  • Advise on AI features and vendor AI terms, data use, ownership, and regulatory requirements.
  • Support governance and strategic transactions, including board matters and entity maintenance.
  • Support privacy and data security matters, including U.S. state privacy laws and data processing agreements.
  • Advise on IP matters, including trademark, copyright, and licensing, with outside counsel as needed.
  • Partner with People and Culture on employment-related matters and workplace investigations.
  • Manage pre-litigation disputes and regulatory inquiries, coordinating with outside counsel.
  • Help develop and maintain legal processes, templates, playbooks, and CLM systems.
  • Conduct legal research and provide actionable guidance to executives and cross-functional teams.

About the role

Compensation
The anticipated base salary range for this position is $139,280 to $235,035 per year.

Actual compensation within this range will be determined based on job-related factors, including relevant experience, education, skills, qualifications, and the scope and responsibilities of the position. Compensation decisions are also made in accordance with InfoTrack's internal compensation philosophy, including consideration of internal pay equity, role alignment, and consistency across similarly situated employees.

This range represents the base salary InfoTrack US, Inc. reasonably expects to pay for this position at the time of posting. Base salary is one component of the Company's total compensation and benefits package.

Responsibilities
  • Draft, review, and negotiate a broad range of commercial agreements, including SaaS and subscription agreements, master services agreements, statements of work, vendor agreements, data licensing agreements, and NDAs.
  • Manage commercial legal matters end to end, from intake and negotiation through approval, signature, and post-signature obligations.
  • Partner with Product and Engineering as product counsel, providing practical legal guidance throughout the product lifecycle on regulatory, privacy, intellectual property, consumer protection, and contractual matters.
  • Review customer-facing terms, product documentation, disclosures, and marketing claims, and advise on appropriate legal and regulatory considerations.
  • Advise on artificial intelligence features and vendor AI terms, including data use, ownership, transparency, and emerging regulatory requirements.
  • Support corporate governance and strategic transactions, including board and stockholder matters, entity maintenance, diligence, closing activities, and post-closing integration.
  • Support privacy and data security matters, including U.S. state privacy laws, data processing agreements, vendor diligence, data subject requests, and incident response readiness.
  • Advise on intellectual property matters, including trademark, copyright, trade secret, ownership, assignment, and licensing issues, in coordination with outside counsel as appropriate.
  • Partner with People and Culture on employment-related matters, including policies, employee documentation, classification questions, leave and accommodation matters, performance management, separations, and workplace investigations.
  • Manage pre-litigation disputes, demand letters, subpoenas, third-party requests, and regulatory inquiries, coordinating with outside counsel as needed.
  • Help develop and maintain legal processes, contract templates, playbooks, self-service guidance, and legal technology systems that enable the business to operate efficiently.
  • Conduct legal research and provide clear, practical, and actionable advice to business leaders, executives, and cross-functional partners.

This is a broad generalist role, and we do not expect candidates to bring deep experience in every area listed below. We are looking for strong core legal judgment and commercial skills, along with the ability and interest to grow across the full scope of the role.

  • Strong written and verbal communication skills, including contract drafting and negotiation.
  • Sound commercial judgment and the ability to provide practical, risk-based advice with limited supervision.
  • Strong analytical, organizational, and problem-solving skills, with the ability to manage multiple matters and competing priorities.
  • Ability to work effectively across functions and build collaborative relationships with business partners.
  • Comfort working across a broad range of legal matters and exercising judgment about when to escalation or engage outside counsel.
  • Experience supporting corporate governance or corporate transactions is preferred.
  • Experience with product counseling, privacy, intellectual property, employment law, or regulatory compliance is preferred.
  • Experience in legal technology, SaaS, fintech, proptech, financial services, or another regulated or data-driven industry is a plus.
  • Familiarity with legal research tools, contract management systems, and e-signature platforms is preferred.
  • High ethical standards and a strong commitment to confidentiality.
