Job summary

HHM Talent is assisting a client in Chattanooga, TN, in their search for an Associate Attorney with transactional experience. This on-site role focuses on drafting, reviewing, negotiating, and managing a variety of commercial agreements while partnering with business leaders to advance strategic initiatives and minimize risk.

The ideal candidate has a JD, an active license, and at least 2 years in transactional law, with strong contract, corporate law knowledge, and excellent communication

Qualifications

• J.D. from an accredited law school.
• Active license to practice law in at least one U.S. jurisdiction.
• Minimum of 2 years of transactional law experience.

Responsibilities

• Draft, review, negotiate, and interpret a broad range of commercial agreements (Operating, NDAs, MSAs, vendor/supplier, customer contracts, etc.).
• Provide legal guidance on contract interpretation, compliance, and risk management to internal stakeholders.
• Lead or support corporate transactions, such as mergers, acquisitions, joint ventures, and financing arrangements.
• Conduct due diligence and help prepare, review, and negotiate transaction documentation.
• Manage multiple matters and competing deadlines in a fast-paced environment.
