Qualifications

• Must be licensed to practice law in Minnesota.
• Two to four years of experience generally preferred.
• Experience on securities and M&A transactions is required or strongly preferred.
• Self-motivated, detail-oriented with strong organizational and communication skills.
• Ability to work well in a team or independently and manage deadlines.
• Willing to work overtime as workload requires.

Responsibilities

• Provide legal support to investment banking and capital markets teams.
• Draft, review and negotiate engagement letters, NDAs and deal docs.
• Participate in firm committees (commitment, M&A, opinions).
• Monitor regulatory changes and advise internal clients on matters.
• Collaborate with outside counsel and manage outside legal spend.
• Support third-party matters and related litigation as needed.
