Qualifications

  • Juris Doctor (JD) from an accredited law school.
  • Licensed to practice in Colorado, in good standing.
  • 13+ years of relevant experience in corporate and business law.
  • Strong drafting, negotiation, and communication abilities.
  • Excellent client-relations and advisory skills.

Responsibilities

  • Advise clients on corporate and business law matters including formation and governance.
  • Draft, review, and negotiate operating and other business agreements.
  • Assist with mergers, acquisitions, and other corporate transactions.
  • Represent clients in commercial real estate transactions and financing.
  • Perform legal due diligence on corporate and real estate deals.
  • Coordinate with lenders, title companies, brokers, and other third parties to close deals.
  • Provide practical, business-focused legal advice and maintain client relationships.
  • Manage matters and deadlines independently while collaborating with a team.
  • Maintain organized electronic matter files and documentation.

  • Draft, review, and negotiate corporate and commercial agreements, including operating agreements, purchase and sale agreements, and other business contracts.
  • Assist with mergers, acquisitions, business purchases and sales, and other corporate transactions.
  • Represent clients in commercial real estate transactions, including acquisitions, sales, leasing, and financing.
  • Conduct legal due diligence for corporate and real estate transactions and identify potential risks.
  • Coordinate with lenders, title companies, brokers, accountants, opposing counsel, and other third parties to facilitate transactions and closings.
  • Provide practical, business-focused legal advice and maintain strong client relationships.
  • Manage matters and deadlines independently while collaborating with attorneys, paralegals, and support staff.
  • Maintain accurate and organized electronic matter files and documentation.
  • Perform other duties as assigned.
Qualifications
