Job summary

NPAworldwide is seeking a senior corporate attorney in Colorado to advise clients on corporate and business law matters, including entity formation and governance. The role involves drafting, reviewing, and negotiating operating agreements and other contracts, and supporting mergers and acquisitions.

The attorney will handle real estate transactions, perform due diligence, and coordinate with lenders and third parties to facilitate closings.

Qualifications

• Juris Doctor (JD) from an accredited law school.
• Licensed to practice in Colorado, in good standing.
• 13+ years of relevant experience in corporate and business law.
• Strong drafting, negotiation, and communication abilities.
• Excellent client-relations and advisory skills.

Responsibilities

• Advise clients on corporate and business law matters including formation and governance.
• Draft, review, and negotiate operating and other business agreements.
• Assist with mergers, acquisitions, and other corporate transactions.
• Represent clients in commercial real estate transactions and financing.
• Perform legal due diligence on corporate and real estate deals.
• Coordinate with lenders, title companies, brokers, and other third parties to close deals.
• Provide practical, business-focused legal advice and maintain client relationships.
• Manage matters and deadlines independently while collaborating with a team.
• Maintain organized electronic matter files and documentation.

• Assist with mergers, acquisitions, business purchases and sales, and other corporate transactions.
• Represent clients in commercial real estate transactions, including acquisitions, sales, leasing, and financing.
• Conduct legal due diligence for corporate and real estate transactions and identify potential risks.
• Coordinate with lenders, title companies, brokers, accountants, opposing counsel, and other third parties to facilitate transactions and closings.
• Provide practical, business-focused legal advice and maintain strong client relationships.
• Manage matters and deadlines independently while collaborating with attorneys, paralegals, and support staff.
• Maintain accurate and organized electronic matter files and documentation.
• Perform other duties as assigned.
