A highly regarded New York law firm is seeking an outstanding 3–5 year Associate Attorney to join its established Capital Markets and Corporate practice. The role offers an attractive combination of complex capital markets transactions and broader strategic corporate advisory work. It would particularly suit an associate looking to retain a strong capital markets specialism while developing into a broader corporate and securities adviser with meaningful client responsibility.

The firm represents a diverse range of US and international public and private companies, investors and financial institutions on significant transactions, securities matters and strategic corporate issues.

The Practice

The successful Associate Attorney will work across a broad range of capital markets and securities matters, including:

• At-the-market offerings (ATMs)
• Registered direct offerings
• Equity lines of credit
• Initial public offerings (IPOs) and follow-on offerings
• SEC registration statements, including Forms S-1 and S-3
• Prospectus supplements and other offering documents
• Underwriting and placement agent agreements
• Securities Act and Exchange Act matters
• SEC reporting and regulatory compliance
• Nasdaq and NYSE listing and ongoing compliance matters

The team regularly acts as outside corporate counsel to clients, advising management teams and boards on corporate governance, SEC and stock exchange requirements, strategic transactions, general corporate matters, legal compliance and risk management.
