Job summary

Simpson Judge, a leading AmLaw 50 firm, invites applications for an Associate in its market‑leading Mergers & Acquisitions practice in Miami, FL. The opportunity focuses on sophisticated domestic and cross‑border transactions across multiple industries, with significant responsibility from day one and direct exposure to clients and senior dealmakers.

The M&A team handles complex acquisitions, dispositions, joint ventures, growth investments, and restructurings for public and private companies,

Qualifications

  • 2+ years of M&A or corporate transactional experience.
  • Experience representing private equity sponsors, strategic buyers, public companies, or emerging growth businesses in complex transactions.
  • Strong experience drafting and negotiating acquisition agreements and related transaction documents.
  • Excellent analytical, drafting, negotiation, and project management skills.
  • Strong academic credentials and a demonstrated record of achievement in a sophisticated transactional practice.
  • Strong interpersonal and communication skills with the ability to work effectively within collaborative deal teams.
  • Admission to the Florida Bar or eligibility to waive in.

Responsibilities

  • Represent public and private companies, private equity sponsors, portfolio companies, and strategic investors in sophisticated mergers, acquisitions, dispositions, and other strategic transactions.
  • Draft, review, and negotiate purchase agreements, merger agreements, joint venture agreements, investment documents, disclosure schedules, and ancillary transaction documentation.
  • Manage transaction processes and coordinate deal execution from initial structuring through signing and closing.
  • Conduct and oversee legal due diligence, including review of corporate, commercial, employment, regulatory, intellectual property, and litigation matters.
  • Prepare and negotiate letters of intent, confidentiality agreements, exclusivity agreements, and related preliminary transaction documents.
  • Advise clients regarding transaction structuring, corporate governance, risk allocation, regulatory considerations, and post-closing integration matters.
  • Coordinate with specialists across tax, finance, antitrust, employment, benefits, intellectual property, and regulatory practice groups.
  • Work directly with management teams, investment professionals, in-house counsel, and external advisers throughout the transaction lifecycle.
  • Assist with private equity platform acquisitions, add-on transactions, minority investments, carve-outs, recapitalisations, and joint venture arrangements.

The Opportunity

The M&A Associate will join a nationally recognised corporate practice representing public and private companies, private equity funds, portfolio companies, family offices, and strategic investors across a broad spectrum of transactional matters. The group advises on complex mergers, acquisitions, dispositions, joint ventures, growth investments, restructurings, and other strategic corporate transactions.

The firm's integrated platform provides associates with the opportunity to work on market-leading deals across a range of industries, including technology, healthcare, financial services, consumer products, energy, infrastructure, and real estate. Associates are given substantial deal responsibility, direct client contact, and exposure to every stage of the transaction lifecycle while working alongside some of the most respected corporate lawyers in the market.
