Job summary

Ascendion is seeking a Business & Finance Associate Attorney in Philadelphia with 3–6 years of transactional experience. The ideal candidate will handle sophisticated corporate, finance, and commercial real estate matters and advise a diverse client base.

Qualifications

• J.D. from an accredited law school.
• Active bar admission in PA and NJ.
• 3–6 years of experience handling corporate, finance and commercial real estate transactions.
• Experience with commercial acquisitions and dispositions.

Responsibilities

• Represent businesses, financial institutions, developers, and commercial clients in corporate and finance transactions.
• Draft, review and negotiate transactional documents including Purchase and Sale Agreements, Financing Documents, Operating Agreements, Shareholder Agreements, and other corporate documents.
• Handle commercial real estate acquisitions, dispositions, financings, and due diligence.
• Advise clients on entity formation, corporate governance, mergers & acquisitions, restructurings, and other business transactions.

• Draft, review, and negotiate transactional documents, including: Purchase and Sale Agreements, Financing Documents, Operating Agreements, Shareholder Agreements, Other corporate transactional documents
• Handle commercial real estate acquisitions, dispositions, financings, and due diligence.
• Advise clients on entity formation, corporate governance, mergers & acquisitions, restructurings, and other business transactions.

Salary and Other Compensation

The annual salary for this position is between $100,000 – $150,000 annually. Factors which may affect pay within this range include geography/market, skills, education, experience, and other qualifications of the successful candidate.
