Scion Legal is seeking an Assistant General Counsel for a fully remote, in-house role with our client, an innovative healthcare technology company. This position offers direct access to legal leadership and a schedule centered on regular business hours, with occasional travel.

Qualifications

• J.D. from an accredited U.S. law school with strong academics.
• Admitted to practice in at least one U.S. state.
• 10+ years of relevant legal experience, with preference for large firm and in-house.
• Extensive experience drafting and negotiating commercial, software licensing, IP, SaaS, and services agreements.
• Experience handling healthcare technology transactions and agreements in healthcare, healthcare IT, or life sciences.
• Strong judgment, attention to detail, and ability to manage competing priorities.
• Excellent communication and business-minded negotiation skills.

Responsibilities

• Draft, review, and negotiate complex commercial, software licensing, IP, SaaS, and services agreements.
• Manage technology transactions from initial discussions through execution.
• Handle agreements of varying size and complexity for the company and an affiliated healthcare technology business.
• Advise business stakeholders on contractual risks, obligations, and practical solutions.
• Partner with business teams to resolve issues and move transactions efficiently toward completion.
• Help strengthen contract management policies, procedures, and workflows.
• Collaborate with the contracts manager on procurement guidance and training.
• Work with the Privacy Officer and legal team on HIPAA privacy, security, and related compliance requirements.
• Support additional corporate, transactional, and compliance matters as needed.

If You Have

• A J.D. from an accredited U.S. law school or equivalent, with strong academic achievement.
• Admission to practice law in at least one U.S. state.
• At least 10 years of relevant legal experience, with a strong preference for both large law firm and in-house experience.
• Substantial experience drafting and negotiating commercial, software licensing, intellectual property, SaaS, and services agreements.
• Experience handling healthcare technology transactions and agreements in healthcare, healthcare IT, or life sciences.
• A strong understanding of technology and HIPAA privacy and security requirements; FDA-regulated healthcare IT medical device experience is a plus.
• Excellent judgment, attention to detail, and organizational skills, with the ability to independently manage competing priorities.
• Strong communication skills and a practical, business-minded approach; experience negotiating university intellectual property licenses is a plus.
