Job summary

Mohawk Industries, a Fortune 500 global flooring leader, seeks an Assistant General Counsel - Corporate to support SEC reporting, governance, financing, and strategic corporate initiatives. You will report to the Deputy General Counsel - Corporate and collaborate with senior executives across Mohawk's public company operations.

The ideal candidate has 3–5 years of relevant experience, J.D. from an ABA-accredited school, and an active license to practice law (Georgia preferred).

Qualifications

  • 3–5 years of relevant legal experience at a nationally recognized law firm or in-house legal department of a public company.
  • Experience in U.S. securities laws, SEC reporting, corporate governance, and general corporate matters.
  • J.D. from an ABA-accredited law school and current active license to practice law, Georgia preferred.

Responsibilities

  • Assist in the preparation and review of SEC filings, including Forms 10-K, 10-Q, 8-K, and the annual proxy statement.
  • Support compliance with Exchange Act reporting requirements and NYSE corporate governance standards.
  • Manage and advise on Section 16 reporting and beneficial ownership compliance for directors and executive officers.
  • Assist with preparation of board and committee materials, resolutions, minutes, and governance documentation.
  • Coordinate annual director and officer questionnaires, governance assessments, and other recurring governance processes.
  • Assist in maintaining and implementing key corporate governance policies, board committee charters, corporate guidelines, and board-related documentation.
  • Support public and private financing transactions, including debt offerings, credit facilities, and treasury-related matters.
  • Support tax initiatives and intercompany agreements.
  • Assist with compliance under financing agreements and related corporate obligations.
  • Review and draft corporate agreements and related transaction documentation.
  • Maintain and manage the Company's domestic and international subsidiary structure and governance matters, including legal entity maintenance, board and shareholder approvals, officer appointments, and corporate records.
  • Work with internal and external legal resources to ensure compliance with local corporate requirements.
  • Support domestic and international mergers, acquisitions, divestitures, and other strategic transactions.
  • Assist with due diligence, regulatory approvals, integration activities, and transaction documentation.
  • Perform legal research and provide practical legal advice to internal business partners regarding corporate and governance matters.
  • Manage and assist with special projects and other responsibilities assigned by the Deputy General Counsel or General Counsel.
  • Perform other duties as needed.

What We Need

The Assistant General Counsel - Corporate will serve as a key member of Mohawk's corporate legal team and support the Company's public company reporting, corporate governance, securities law compliance, financing transactions, subsidiary management, and strategic corporate initiatives. Reporting to the Deputy General Counsel - Corporate, this attorney will work closely with senior executives and key business leaders across a Fortune 500 public company.

What You'll Do

What You Have
