Job summary

Exelon is seeking a senior lawyer specializing in employee benefits and executive compensation to support its business units. The role requires handling complex legal matters, advising on ERISA plans, and providing strategic leadership on related programs.

The position offers a hybrid work arrangement with in-office requirements and opportunities to collaborate across Exelon operating companies, including in major offices. Litigation, audits, and M&A experience are valued.

Qualifications

  • JD/LLB from an accredited law school and licensed to practice in relevant jurisdictions.
  • 7–10 years of professional experience, with at least 5 years in Employee Benefits and Executive Compensation law.
  • Strong knowledge of ERISA, HIPAA, COBRA, ACA, Mental Health Parity, 409A, and related laws.

Responsibilities

  • Provide legal services related to employee benefits and executive compensation for Exelon business units.
  • Lead complex assignments, evaluate legal and business risks, and advise clients; participate in M&A, contracts, audits, litigation.
  • Advise on defined benefit and defined contribution plans, non-qualified deferred comp, health and welfare, and severance programs.
  • Draft and review plan documents, SPDs, and employee communications; counsel ERISA fiduciaries.

Primary Purpose

A senior lawyer who is a highly qualified attorney handling complex legal matters and projects on behalf of the Company relating to employee benefit and executive compensation matters.

Note: This is a hybrid position (in-office with remote flexibility). Employees are required to be in office at least three days per week (Tuesday, Wednesday, and Thursday). This position must sit out of our Philadelphia - PA, Baltimore - MD, Chicago - IL or Washington -DC office.

Primary Duties

Performs as a specialist in employee benefits and executive compensation law and provides technical and expert legal services to Exelon business units.

Under minimal supervision, plans, conducts and supervises large and highly complex legal assignments; evaluates both legal and business risks and advises clients, accordingly; represents Exelon as the subject matter expert in M&A transactions, contract negotiations, audits, litigation and other relevant matters.

Provide legal advice for Exelon’s employee benefit plans and compensation programs, including defined benefit pension, defined contribution retirement, non-qualified (SERP and deferred compensation), health and welfare, long and short-term incentive, and severance.

Draft and review plan and program documents, summary plan descriptions, and employee communications.

Counsel ERISA plan fiduciaries, including conducting fiduciary training.

Advise on ERISA claims and appeals.

Subject matter expertise in ERISA, HIPAA, COBRA, ACA, Mental Health Parity, 409A, and related laws.

Prepares, and revises as necessary, budgets and early matter assessments for all matters involving outside counsel.

Provides lead direction and/or project leadership direction to less experienced attorneys and support staff.

Projects / duties as assigned.

Job Scope

Supports more senior attorneys in the ongoing management of relationships and matters with Exelon Operating Companies/Business Units and outside counsel.

Demonstrates superior legal judgment in the business context.

Demonstrates innovation; generates new ideas and devises original and successful solutions, programs or actions.

Minimum Qualifications

An LLB or JD from an accredited law school and be licensed to practice law in the relevant jurisdictions.

At least 7 to 10 years of professional experience with a minimum of 5 years of experience in Employee Benefits and Executive Compensation law.

Possesses and applies a comprehensive knowledge of principles, practices and procedures of the legal field to the completion of complex assignments.

Requires excellent legal research, analytical abilities and on ongoing knowledge of federal or state law.

Must have the ability to communicate clearly – both orally and in writing; to read and analyze legal materials and other data; to work in stressful conditions under time deadlines.

Preferred Qualifications

Ability to learn, adopt, and leverage AI-enabled tools to support research, drafting, and analysis while applying sound professional judgment.
