Job summary

Exelon Corporation seeks a senior lawyer specializing in employee benefits and executive compensation to advise on defined benefit and defined contribution plans, non-qualified deferred compensation, and related programs. You will draft and review plan documents, counsel ERISA fiduciaries, and lead complex matters across the enterprise.

This hybrid role requires office presence three days a week at one of Exelon’s locations (Philadelphia, Baltimore, Chicago or Washington) and a JD with 7–10

Qualifications

  • LLB or JD from an accredited law school.
  • Licensed to practice law in relevant jurisdictions.
  • 7–10 years of professional experience; 5+ years in Employee Benefits and Executive Compensation law.
  • Strong legal research, analytical abilities, and knowledge of federal/state law.
  • Excellent written and oral communication under deadlines.

Responsibilities

  • Specialist in employee benefits and executive compensation law; provide expert legal services.
  • Plan, conduct and supervise large, complex assignments; advise clients on risks.
  • Represent Exelon as SME in M&A, contract negotiations, audits, litigation and other matters.
  • Provide legal advice for employee benefit plans (pension, retirement, SERP, health, welfare, incentives, severance).
  • Draft and review plan documents, SPD and employee communications.
  • Counsel ERISA fiduciaries, including fiduciary training and guidance on claims/appeals.
  • Subject matter expertise in ERISA, HIPAA, COBRA, ACA, Mental Health Parity, 409A.
  • Budget and manage outside counsel; lead junior attorneys and staff.

Primary Purpose

A senior lawyer who is a highly qualified attorney handling complex legal matters and projects on behalf of the Company relating to employee benefit and executive compensation matters.

Note: This is a hybrid position (in-office with remote flexibility). Employees are required to be in office at least three days per week (Tuesday, Wednesday, and Thursday). This position must sit out of our Philadelphia - PA, Baltimore - MD, Chicago - IL or Washington -DC office.

Primary Duties

Performs as a specialist in employee benefits and executive compensation law and provides technical and expert legal services to Exelon business units.

Under minimal supervision, plans, conducts and supervises large and highly complex legal assignments; evaluates both legal and business risks and advises clients, accordingly; represents Exelon as the subject matter expert in M&A transactions, contract negotiations, audits, litigation and other relevant matters.

Provide legal advice for Exelon’s employee benefit plans and compensation programs, including defined benefit pension, defined contribution retirement, non-qualified (SERP and deferred compensation), health and welfare, long and short-term incentive, and severance.

Draft and review plan and program documents, summary plan descriptions, and employee communications.

Counsel ERISA plan fiduciaries, including conducting fiduciary training.

Advise on ERISA claims and appeals.

Subject matter expertise in ERISA, HIPAA, COBRA, ACA, Mental Health Parity, 409A, and related laws.

Prepares, and revises as necessary, budgets and early matter assessments for all matters involving outside counsel.

Provides lead direction and/or project leadership direction to less experienced attorneys and support staff.

Projects / duties as assigned.

Job Scope

Supports more senior attorneys in the ongoing management of relationships and matters with Exelon Operating Companies/Business Units and outside counsel.

Demonstrates superior legal judgment in the business context.

Demonstrates innovation; generates new ideas and devises original and successful solutions, programs or actions.

Minimum Qualifications

An LLB or JD from an accredited law school and be licensed to practice law in the relevant jurisdictions.

At least 7 to 10 years of professional experience with a minimum of 5 years of experience in Employee Benefits and Executive Compensation law.

Possesses and applies a comprehensive knowledge of principles, practices and procedures of the legal field to the completion of complex assignments.

Requires excellent legal research, analytical abilities and on ongoing knowledge of federal or state law.

Must have the ability to communicate clearly – both orally and in writing; to read and analyze legal materials and other data; to work in stressful conditions under time deadlines.

Preferred Qualifications

Ability to learn, adopt, and leverage AI-enabled tools to support research, drafting, and analysis while applying sound professional judgment.
