Job summary

Exelon is seeking a senior attorney specializing in employee benefits and executive compensation to handle complex matters across the company. The role combines legal analysis with strategic business advice, including M&A support and ERISA-related governance.

The position offers a hybrid work arrangement requiring in-office presence at least three days a week and sits in one of Exelon’s key offices in the U.S. This is a high-impact, policy-driven legal leadership role.

Qualifications

  • An LLB or JD from an accredited law school and be licensed to practice law in the relevant jurisdictions.
  • At least 7 to 10 years of professional experience with a minimum of 5 years in Employee Benefits and Executive Compensation law.
  • Possesses and applies a comprehensive knowledge of principles, practices and procedures of the legal field to complex assignments.
  • Requires excellent legal research, analytical abilities and up-to-date knowledge of federal or state law.
  • Must have the ability to communicate clearly – both orally and in writing; to read and analyze legal materials and data; to work under time deadlines.

Responsibilities

  • Performs as a specialist in employee benefits and executive compensation law for Exelon business units.
  • Plans, conducts and supervises large and complex legal assignments; advises clients; represents Exelon in M&A, negotiations, audits, litigation and other matters.
  • Provides legal advice for Exelon’s employee benefit plans and compensation programs.
  • Drafts and reviews plan documents, summary plan descriptions, and employee communications.
  • Counsels ERISA plan fiduciaries, including fiduciary training.
  • Advices on ERISA claims and appeals.
  • Subject matter expertise in ERISA, HIPAA, COBRA, ACA, Mental Health Parity, 409A, and related laws.
  • Prepares and revises budgets for matters involving outside counsel.
  • Provides lead direction to junior attorneys and staff.
  • Projects and duties as assigned.

Primary Purpose

A senior lawyer who is a highly qualified attorney handling complex legal matters and projects on behalf of the Company relating to employee benefit and executive compensation matters.

Note: This is a hybrid position (in-office with remote flexibility). Employees are required to be in office at least three days per week (Tuesday, Wednesday, and Thursday). This position must sit out of our Philadelphia - PA, Baltimore - MD, Chicago - IL or Washington -DC office.

Primary Duties
  • Performs as a specialist in employee benefits and executive compensation law and provides technical and expert legal services to Exelon business units.
  • Under minimal supervision, plans, conducts and supervises large and highly complex legal assignments; evaluates both legal and business risks and advises clients, accordingly; represents Exelon as the subject matter expert in M&A transactions, contract negotiations, audits, litigation and other relevant matters.
  • Provide legal advice for Exelon’s employee benefit plans and compensation programs, including defined benefit pension, defined contribution retirement, non-qualified (SERP and deferred compensation), health and welfare, long and short-term incentive, and severance.
  • Draft and review plan and program documents, summary plan descriptions, and employee communications.
  • Counsel ERISA plan fiduciaries, including conducting fiduciary training.
  • Advise on ERISA claims and appeals.
  • Subject matter expertise in ERISA, HIPAA, COBRA, ACA, Mental Health Parity, 409A, and related laws.
  • Prepares, and revises as necessary, budgets and early matter assessments for all matters involving outside counsel.
  • Provides lead direction and/or project leadership direction to less experienced attorneys and support staff.
  • Projects / duties as assigned.

  • Demonstrates superior legal judgment in the business context.

Minimum Qualifications

  • Annual salary will vary based on a candidate’s skills, qualifications, experience, and other factors: $167,200.00/Yr. – $229,900.00/Yr.
