Qualifications

• 3+ years of corporate trust, loan agency, and/or finance transactional experience.
• Large or mid-size law firm background preferred.
• Experience with debt offerings and loan financing transactions.
• Familiarity with Rule 144A, Regulation S, and UCC Article 8 and 9 preferred.
• Active bar membership in good standing or ability to waive into applicable jurisdiction.

Responsibilities

• Advise on corporate trust, loan agency, and asset securitization transactions.
• Represent indenture trustees in debt offerings and loan financing matters.
• Review and negotiate credit agreements and collateral documents.
• Analyze corporate debt offerings and manage multiple active transactions.
