AlareLeadership Inc. is seeking an Advisor for its Board of Advisors. This equity-based, remote, independent contractor role focuses on providing strategic guidance to early-stage ventures and building strong connections across the company’s network.
You will help shape product positioning, GTM strategy, and fundraising awareness while offering high-impact mentorship and selective amplification of the company story. Flexible engagement with periodic touchpoints is expected.
Alarè is building AI-enabled software for venture-backed companies, investors (venture capital and others), and corporate banks. Near term, Alarè Leadership is focused on helping teams grow faster — operating cadence, decision quality, and execution — with the Alarè Leadership alpha launch targeted for Q4 2026. The longer-term roadmap includes deeper real-time business and portfolio valuations and projections, and tools that support investment and credit decision workflows for companies, investors, and banks.
Alarè is forming a non-fiduciary Board of Advisors — not the Company's Board of Directors. Advisors are independent contractors who serve as trusted thought partners to the executive team: product and go-to-market feedback, warm introductions to prospective customers and partners, and selective amplification of the Alarè story. This role suits people who want high-impact, collaborative advisory work in support of early-stage innovation — not a passive title.
Advisors do not bind the Company, approve spend, or speak as official spokespersons without written approval.
• Structure: Independent advisor (contractor); non-fiduciary; no Board voting or governance authority
• Time: Approximately 3–4 hours per month on average (calls, introductions, async feedback)
• Cadence: Periodic advisor touchpoints (virtual); responsive async input between meetings
• Term: Initial 12 months; renewable by mutual written agreement; inactive advisors reviewed at 6 and 12 months
• Compensation: Equity grant on signing under a Contractor Agreement and the Company's equity documents (see Compensation below). No commissions or success fees on capital raised.
• Confidentiality: Advisor NDA / CPIIA required before substantive briefings; conflicts of interest must be disclosed
This is an equity engagement. Compensation for the current role is an equity grant on signing, subject to Board approval and standard award documentation (including vesting). The equity range for this advisory role is approximately 0.10% – 0.25% (or an equivalent share grant under the Company's equity plan), depending on track, experience, and level of engagement.
Any future cash compensation would require a separate written amendment after the Company is appropriately funded and is not part of the current offer. There are no commissions, success fees, or transaction-based compensation related to capital raised.
Advisors generally align to one or more of the following tracks:
• GTM / Customer — Design partners, alpha users, enterprise sales, and marketing strategy (near-term priority)
• Capital Network — Warm introductions to investors and institutional capital, process-gated (see Capital-Introduction Discipline below)
• Domain / Product — Fintech, enterprise SaaS, AI, venture-backed startups, venture capital, accelerators, private equity, and/or corporate or investment banking expertise to inform product and competitive strategy
A single advisor may span multiple tracks. Track alignment is discussed at onboarding.
• Provide candid feedback on product positioning, feature priorities, go-to-market strategy, and competitive landscape — anchored in Alarè's current growth-acceleration focus and alpha timeline
• Make warm introductions to prospective customers, design partners, and strategic partners from your network (founders, operators, investors, family offices, and institutional partners). Customer and design-partner introductions are the near-term priority; capital introductions are secondary and process-gated
• Advise on company-building topics (fundraising process awareness, partnership structure, market expansion) as a thought partner; formal fundraising process and securities communications remain CEO-led
• Participate in select, Company-approved thought leadership (podcasts, panels, webinars, or co-authored content) — Company-approved messaging only; no unapproved performance, certification, valuation, or fundraising claims
• Attend periodic advisor meetings and provide timely, actionable guidance between meetings
• Surface market trends, competitive signals, and network intelligence relevant to Alarè's strategy
Warm introductions to investors or LPs are welcome when they fit the Company's process. Advisors do not solicit investments, quote SAFE terms, valuation caps, or minimum check sizes, or act as brokers. All capital conversations are routed through the CEO (or designated capital-raise lead) under the Company's private offering process (Rule 506(b)).
• Demonstrated experience in one or more of: venture-backed startup (founder, C-suite, or senior operator); venture capital; accelerator/incubator; corporate bank innovation; family office; private equity; or investment bank
• Established network of founders, investors, or enterprise decision-makers relevant to Alarè's markets
• Track record of strategic guidance or mentorship to early-or growth-stage companies
• Clear, actionable communication; commitment to active engagement (not a passive title)
• Fintech, enterprise SaaS, or adjacent technology experience
• Prior advisory board, board observer, or fractional executive experience
• Relationships with VCs, family offices, or institutions actively deploying capital — and/or with executive teams at corporate banks, investment banks, or PE firms that could use Alarè's products
• Comfort with approved public-facing activities (speaking, podcasts, written thought leadership)
• Familiarity with fundraising from the operator or investor side
• Introductions: Quality and conversion of intros to customers, partners, or (when appropriate) the capital process, tracked simply
• Strategy: Demonstrable input on product direction or GTM reflected in executive feedback
• Engagement: Consistent participation in scheduled touchpoints; timely responsiveness
• Amplification: Meaningful contribution to at least one approved marketing or thought-leadership initiative per term period
• Advocacy: Credible advocacy for Alarè within your network without unapproved claims
• Fiduciary Board duties, voting, or holding out as a director unless separately appointed in writing
• Binding the Company, approving spend, or speaking as an official spokesperson without approval
• Transaction-based compensation for capital raised; broker-dealer activity
• Unapproved public claims about performance, certifications, valuation, or offering terms
