Job summary

Jobgether seeks an experienced paralegal to support a U.S. law firm remotely from Turkey. You will assist with formation, governance, contract management, and complex commercial transactions, coordinating due diligence and closing activities.

The role requires 5+ years in a paralegal or attorney role, solid drafting skills, and strong knowledge of U.S. business law. A long-term remote arrangement with flexible part-time or full-time options is available.

Qualifications

• At least 5 years of professional experience as a paralegal, lawyer, or attorney.
• At least 2 years of experience working with a business or commercial law firm in the United States.
• Strong drafting and reviewing contracts, corporate records, and transactional documents.
• Familiarity with LLCs, corporations, partnerships, operating agreements, bylaws, resolutions, and ownership documentation.
• Excellent written and verbal English communication skills.

Responsibilities

• Support attorneys with business formation, corporate governance, contract preparation, and commercial transactions.
• Prepare and organize formation documents for LLCs, corporations, partnerships, and other business entities.
• Draft, review, and revise operating agreements, bylaws, corporate resolutions, written consents, amendments, and related governance documents.
• Assist with drafting, reviewing, organizing, and managing commercial agreements, including service contracts, vendor agreements, nondisclosure agreements, licensing agreements, and other business contracts.
• Maintain corporate records, minute books, ownership documentation, and organizational files to ensure information remains accurate and up to date.
• Coordinate due diligence activities, organize virtual data rooms, track outstanding documents, and follow up with relevant parties to keep transactions moving forward.
• Prepare transaction closing checklists, signature packets, exhibits, schedules, and closing documentation.
• Conduct business entity searches, Uniform Commercial Code (UCC) searches, and other corporate and commercial legal research.
